Consideration and Release

1. Consideration. Recipient acknowledges that the Gross Bonus Amount and other obligations described in this Agreement constitute full and sufficient consideration for the releases and covenants set forth below.

2. Release of Claims. In consideration of the bonus payment and other good and valuable consideration, Recipient, on behalf of Recipient and Recipient's heirs, agents, representatives and assigns, hereby irrevocably and unconditionally releases, relinquishes and forever discharges Employer and its affiliates, subsidiaries, officers, directors, employees, agents, successors and assigns (the Released Parties) from any and all claims, demands, causes of action, liabilities or obligations, whether known or unknown, suspected or unsuspected, that arise out of or relate to Recipient's employment, compensation, bonuses, bonus calculations, or termination of employment through the Effective Date, including but not limited to claims for breach of contract, wrongful termination, discrimination, retaliation, wage and hour violations, or tort claims.

3. Excluded Claims. Notwithstanding the foregoing release, Recipient does not release any claim that cannot legally be waived by private agreement under applicable law, including claims for unemployment compensation, workers' compensation benefits, and rights or claims that may arise after the Effective Date.

Covenants and Acknowledgements

4. No Admission of Liability. The parties agree that payment of the bonus and execution of this Agreement are not an admission of liability by Employer.

5. Non-Disparagement. Recipient agrees not to make statements, written or oral, that are disparaging of Employer, its officers, directors, employees or agents. Employer agrees that it will not make disparaging statements about Recipient.

6. Confidentiality. Recipient acknowledges that the terms, amount and existence of this Agreement are confidential and shall not be disclosed to third parties except as required by law, to Recipient's legal or financial advisors, or to immediate family members who agree to keep such information confidential.

Tax Treatment and Withholding

7. Taxes. Recipient acknowledges and agrees that Employer may withhold applicable federal, state and local taxes and other authorized deductions from the bonus payment. Employer makes no representation as to the tax consequences of the payment and Recipient is solely responsible for reporting and paying any taxes due.

8. Reimbursement. If Employer determines that the bonus was paid due to a clerical error, fraud, material misrepresentation by Recipient, or other mistake, Recipient agrees to repay the erroneously paid amount to Employer within thirty (30) days of written demand. Employer may offset amounts owed by Recipient against other sums Employer owes to Recipient to the fullest extent permitted by law.

Representations and Remedies

9. Representations. Recipient represents and warrants that Recipient has read and understands this Agreement, has had the opportunity to consult with legal counsel, is voluntarily entering into this Agreement, and is not relying upon any representations or promises other than those set forth herein.

10. Remedies. If any party breaches this Agreement, the non-breaching party shall be entitled to all available remedies at law and in equity, including injunctive relief, costs and reasonable attorneys' fees.

11. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state specified here: , without regard to conflict of laws principles.

12. Entire Agreement; Amendment. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. Any amendment must be in writing and signed by both parties.

13. Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
