BOOKING AGENCY AGREEMENT

This Booking Agency Agreement (the "Agreement") is entered into as of by and between Agent: (Agent), and Principal: (Principal). Agent and Principal are each a "Party" and collectively the "Parties."

WHEREAS

WHEREAS, Agent is engaged in the business of procuring and negotiating engagements for performers and providing booking services on behalf of talent; and

WHEREAS, Principal is an individual or entity performing live engagements and desires to appoint Agent to procure bookings and provide related services on the terms set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the Parties agree as follows.

SCOPE OF WORK

Agent shall use reasonable efforts to procure live performances, appearances, engagements, and related services for Principal (collectively, "Engagements"). Agent's responsibilities may include negotiating terms, securing venues or promoters, and coordinating logistics as agreed by the Parties below. Agent does not guarantee a specific number of Engagements.

PAYMENT TERMS

As compensation for Agent's services, Principal shall pay Agent the amounts set forth below. Commission is calculated on gross fees actually received by Principal for Engagements (before deduction of expenses), unless otherwise agreed in writing.

Any amounts not paid when due shall accrue interest at or the maximum rate permitted by law, plus reasonable collection costs. In addition, Agent may withhold commission on future Engagements until overdue amounts are paid.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either Party may terminate this Agreement for convenience upon days' prior written notice to the other Party. Either Party may terminate immediately for material breach by the other Party if the breaching Party fails to cure such breach within 15 days of written notice. Termination shall not relieve Principal of obligations to pay Agent commissions earned on Engagements booked prior to termination.

CONFIDENTIALITY

Each Party shall keep confidential and shall not disclose to any third party non-public business information of the other Party, including but not limited to contractual terms, financial arrangements, client lists, and strategic plans, except as required by law or to advisors under confidentiality obligations. Confidential information shall not include information that is or becomes public other than by breach of this Agreement.

REPRESENTATIONS, WARRANTIES, AND INDEMNIFICATION

Each Party represents and warrants that it has full power and authority to enter into this Agreement. Principal warrants that Principal has the right to enter into Engagements and that performance will not violate any agreements with third parties. Principal shall indemnify and hold harmless Agent from and against any claims, liabilities, losses, or expenses (including reasonable attorney fees) arising from Principal's breach of this Agreement, negligent or willful acts, or failure to obtain required permissions.

RELATIONSHIP; ASSIGNMENT

Agent acts as an independent contractor. Nothing in this Agreement creates an employment relationship or joint venture. Neither Party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other Party, provided that Agent may assign this Agreement to an affiliate or successor in connection with a sale of the business.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with any schedules or attachments signed by the Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements. No amendment or modification shall be effective unless in writing and signed by both Parties.

NOTICES

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. The Parties agree to execute any further documents necessary to effectuate the intent of this Agreement.
