CONFIDENTIALITY

Confidential Information shall not include information that is publicly known, independently developed, or rightfully received from a third party. INSURANCE, INDEMNIFICATION, AND LIMITATION OF LIABILITY

Client shall maintain any required insurance and is responsible for guest conduct and compliance with venue rules. To the fullest extent permitted by law, Client shall indemnify and hold harmless Provider, its officers, employees, and agents from claims arising out of Client's acts, omissions, or breach of this Agreement. Provider's aggregate liability for any claim arising from this Agreement shall not exceed the total fees paid by Client under this Agreement.

FORCE MAJEURE

Neither Party shall be liable for delays or failures in performance resulting from acts beyond its reasonable control, including but not limited to acts of God, pandemics, government actions, strikes, shortages, or utility failures. If a force majeure event prevents performance for more than days, either Party may terminate this Agreement without further liability except for payments due for services rendered prior to the event.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of State: without regard to conflict of laws principles. Venue for any dispute shall be in the courts of that jurisdiction.

ENTIRE AGREEMENT

This document, together with any appended schedules or written amendments signed by both Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral.
