BOOKING SERVICES CONTRACT

This Booking Services Contract ("Agreement") is made and entered into as of Effective Date: by and between Client Name: with principal place of business/residence at and Service Provider Name: with principal place of business at .

Recitals

WHEREAS, Client seeks to retain Provider to perform certain booking and event-related services described herein; and

WHEREAS, Provider represents that it has the experience, personnel and resources necessary to perform the Services in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth their mutual understandings and obligations with respect to the booking services to be provided by Provider.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth below, the parties agree as follows:

1. Definitions

1.1 "Services" means the booking, coordination, and other services described in Section 2. 1.2 "Event" means the date(s), time(s) and location(s) for which Services are booked as set forth in the Service Schedule. 1.3 "Deliverables" means any materials, confirmations, itineraries, documentation or other tangible outputs that Provider is required to deliver under this Agreement.

2. Services

2.1 Scope. Provider will perform the Services described below and in the Service Description supplement. Provider shall use commercially reasonable efforts, professional skill and care in performing the Services in accordance with industry standards.

3. Term

3.1 Term. The term of this Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Agreement.

3.2 Renewal. The Agreement shall by mutual written agreement or continue on a month-to-month basis unless either party provides written notice of non-renewal at least days prior to expiration.

4. Fees and Payment

4.1 Fees. As full compensation for the Services, Client will pay Provider Fees in the amounts and on the schedule set forth below.

5. Expenses

Client will reimburse Provider for pre-approved, reasonable out-of-pocket expenses incurred in connection with performance of the Services upon presentation of receipts. Reimbursable expenses require prior written approval for any single item exceeding .

6. Cancellation and Rescheduling

6.1 Cancellation by Client. If Client cancels the Event more than days before the Event, Client will forfeit only the non-refundable deposit. If Client cancels within the cancellation notice period, Client shall pay a cancellation fee equal to % of the Total Fee.

6.2 Rescheduling. Client may request rescheduling by providing at least days' written notice. Provider will use commercially reasonable efforts to accommodate rescheduling, subject to availability and any additional costs reasonably incurred by Provider.

7. Confidentiality

Each party shall keep confidential all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given its nature ("Confidential Information"). Confidential Information shall not include information that is publicly known through no fault of the recipient, independently developed, or rightfully obtained from a third party. The recipient shall use Confidential Information only to perform its obligations under this Agreement and shall take reasonable measures to protect such information.

8. Intellectual Property

Unless otherwise agreed in writing, Provider retains all right, title and interest in and to Provider's preexisting materials, methodologies and intellectual property. To the extent Provider creates custom Deliverables specifically for Client in connection with the Services, Provider hereby grants Client a non-exclusive, perpetual, worldwide license to use such Deliverables for the Event and related promotion, subject to payment in full.

9. Independent Contractor

Provider is an independent contractor. Nothing in this Agreement creates an employment, agency, partnership or joint venture relationship between the parties. Provider retains the right to determine the method and means of performance and is responsible for payment of all taxes and other obligations arising from fees paid hereunder.

10. Insurance

Provider shall, at its expense, maintain commercial general liability insurance in an amount not less than and, if applicable, workers' compensation insurance as required by law. Upon request, Provider will furnish certificates of insurance to Client.

11. Indemnification

Each party (the "Indemnifying Party") shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents (collectively, the "Indemnified Parties") from and against any third-party claims, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of the Indemnifying Party's breach of this Agreement, negligence, willful misconduct, or violation of applicable law in connection with the performance of this Agreement.

12. Limitation of Liability

Except for liability arising from a party's gross negligence, willful misconduct or indemnification obligations, neither party shall be liable to the other for consequential, incidental, special or punitive damages. The aggregate liability of either party for any claim arising out of or relating to this Agreement shall not exceed the Total Fee paid by Client to Provider under this Agreement.

13. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, pandemic, government action, labor disputes, fire, flood, storm, or other catastrophes. A party affected by a force majeure event shall provide prompt written notice to the other party and shall use commercially reasonable efforts to resume performance.

14. Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by written notice. Notices shall be deemed given when delivered personally, by certified mail return receipt requested, or by recognized overnight courier.

15. Amendments; Waiver

This Agreement may be amended or modified only by a written instrument signed by both parties. No failure or delay by either party in exercising any right will operate as a waiver of that right.

16. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of laws principles.

17. Entire Agreement; Severability; Counterparts

This Agreement, together with any schedules or attachments, constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force. This Agreement may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one instrument.

18. Miscellaneous

The parties represent that they have full authority to enter into this Agreement. Headings are for convenience only and do not affect interpretation. All monetary amounts are in the currency of the jurisdiction specified in Section 16 unless otherwise stated.
