Either party may terminate this Booking for material breach by the other party upon days' prior written notice specifying the breach, provided the breaching party fails to cure within the notice period. Termination by Client without cause after deposit acceptance will result in forfeiture of the deposit unless otherwise agreed in writing.

CANCELLATION, REFUND AND FORCE MAJEURE

Cancellation by Client more than days prior to the Event will result in refund of amounts paid less reasonable administrative costs. Cancellations inside that period may be non-refundable. In the event of Force Majeure, the Provider may elect to reschedule or refund fees in its discretion; neither party will be liable for failure to perform due to causes beyond reasonable control.

LIABILITY WAIVER AND INDEMNIFICATION

The Client acknowledges and agrees that attendance and participation in the Event involve inherent risks. To the maximum extent permitted by law, the Client hereby releases and holds harmless the Provider, its agents, employees and subcontractors from liability for injury, loss or damage arising out of the Provider's performance, except for such claims resulting from the Provider's gross negligence or willful misconduct.

The Client agrees to indemnify, defend and hold harmless the Provider from any third-party claims, losses, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of the Client's acts, omissions, negligence or breach of this Booking Waiver Form.

CONFIDENTIALITY

Each party shall keep confidential and shall not disclose to any third party any non-public information received from the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. This obligation does not apply to information that is public, already known to the receiving party, independently developed, or required to be disclosed by law.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement will be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. ENTIRE AGREEMENT
