The Borrower represents and warrants to the Lender that, as of the date hereof: (a) it is duly organized, validly existing and in good standing under applicable law; (b) the execution and delivery of this Certificate and the performance of its obligations hereunder have been duly authorized by all necessary corporate or other action; (c) no Event of Default exists and no event or circumstance has occurred that, with notice or lapse of time, would constitute an Event of Default; and (d) all information provided to the Lender in connection with the borrowing is true and correct in all material respects.
