This Brand Licensing Agreement (the Agreement) is made and entered into by and between Licensor Name: and Licensee Name: . The parties agree as follows.

RECITALS

WHEREAS, Licensor is the owner of certain trademarks, trade dress, service marks, logos and/or brand identifiers identified as: Brand Name: (the Brand), and has the right to grant licenses in and to the Brand; and

WHEREAS, Licensee desires to obtain, and Licensor is willing to grant, a license to use the Brand solely in accordance with the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to define the scope, terms of payment, quality standards, confidentiality obligations, and other rights and obligations regarding the licensed use of the Brand.

GRANT OF LICENSE

Subject to the terms of this Agreement, Licensor hereby grants to Licensee a Non-Exclusive Exclusive license to use the Brand in the Field of Use: within the Territory: .

Sublicensing permitted: Yes No. Any permitted sublicense shall be subject to the prior written approval of Licensor and compliance with this Agreement.

SCOPE OF WORK

Licensee shall not use the Brand in any manner inconsistent with the quality standards and specifications approved by Licensor. Licensee agrees to submit to Licensor samples of all materials bearing or using the Brand for approval prior to distribution when reasonably requested by Licensor.

PAYMENT TERMS

Payments are due within days of invoice. Late payments shall accrue interest at or the maximum rate permitted by law, whichever is lower.

Either party may terminate this Agreement for material breach by the other party upon days' prior written notice if the breach remains uncured at the expiration of such period. Licensor may terminate immediately for unauthorized use of the Brand or failure to meet quality standards.

Each party shall maintain in confidence all non-public business information disclosed by the other party in connection with this Agreement. Confidential obligations shall continue for years following termination or expiration of this Agreement, except as otherwise required by law.

INTELLECTUAL PROPERTY AND QUALITY CONTROL

Ownership of all trademarks, trade names, and goodwill associated with the Brand remains with Licensor. Licensee acknowledges Licensor's exclusive ownership and will not contest or take any action inconsistent with Licensor's ownership rights.

Licensee agrees to comply with Licensor's reasonable quality standards. Licensor shall have the right to inspect products, packaging, advertising, and other materials bearing the Brand and to require corrective action where standards are not met.

REPORTING AND AUDIT RIGHTS

Licensor shall have the right, upon reasonable notice and during regular business hours, to audit Licensee's records relevant to royalties and sales to verify compliance. Audits shall be conducted no more frequently than once per calendar year unless noncompliance is suspected.

INDEMNIFICATION; LIMITATION OF LIABILITY

Each party shall indemnify and hold harmless the other party from and against any third-party claims arising out of its breach of this Agreement or its negligent or willful acts or omissions. Except for willful misconduct or gross negligence, neither party's aggregate liability to the other shall exceed the total royalties paid by Licensee to Licensor in the twelve (12) months preceding the claim.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings and agreements, whether written or oral. Any amendment must be in writing and signed by both parties.
