What a Brand Logo Usage Agreement Covers

A Brand Logo Usage Agreement is a written contract that sets the terms under which one party grants another the right to use its trademarked logo and related brand assets. It defines permitted uses, quality controls, geographic or channel limits, duration, approval workflows for creative treatments, and remedies for misuse. For U.S. transactions the agreement should be consistent with contract law and include signature and retention provisions that satisfy ESIGN (15 U.S.C. ch. 96) and applicable state electronic transaction law (UETA or state ESRA).

Why formalize logo use with a written agreement

A clear written agreement protects trademark rights, preserves consistency of brand presentation, defines permissible third-party uses, and creates enforceable remedies for misuse under trademark and contract law.

Why formalize logo use with a written agreement

Typical parties who prepare or sign this agreement

Assign internal roles (brand manager, legal reviewer, approvals contact) before execution to speed approvals and reduce misuse risk.

  • Brand owner or trademark holder: corporate or legal team that controls brand guidelines and enforces quality standards.
  • Licensee or partner organization: marketing or product teams that will publish or reproduce the logo under agreed conditions.
  • Agency or vendor: creative or production teams responsible for file handling and adhering to approval workflows.

Core clauses to include in a professional agreement

A practical Brand Logo Usage Agreement balances brand protection with operational clarity by spelling out license scope, quality control, approvals, and termination mechanics.

Grant

Defines whether the license is exclusive or non‑exclusive, usage rights, permitted media, and any sub‑licensing restrictions. Be specific about digital, print, and merchandise use.

Permitted Uses

Lists allowed applications (e.g., co‑branding, marketing materials, product labels) and any channel or territory limits to prevent overbroad interpretation.

Quality Control

Sets visual standards, minimum resolution, color palettes, and approval workflows; reserves the right to require corrections or withdraw usage for noncompliant items.

Approval Process

Specifies how proofs are submitted, review timelines, the approver's identity, and what constitutes final approval for publication.

Term & Termination

States start and end dates, renewal conditions, and termination triggers (breach, insolvency, misuse), plus post‑termination obligations to stop all use.

Indemnity & Remedies

Allocates responsibility for third‑party claims, sets limits or exclusions of liability, and makes clear injunctive relief is available for trademark dilution.

Step-by-step: completing the Brand Logo Usage Agreement

Follow these sequential actions to draft, review, and execute the agreement efficiently.

  • 01
Draft terms: Populate parties, scope, approvals, and duration.
  • 02
Attach assets: Include logo files and brand guidelines.
  • 03
Internal review: Legal and brand teams confirm language and quality controls.
  • 04
Sign and store: Execute with authorized signatures and archive the final agreement.

How to configure an online approval and signature workflow

Map fields and signer roles before sending to avoid rework; include versioning and file upload points.

Field Configuration
Signature Require full name, title, and date for each signer
Approval checkbox Add a checked box confirming adherence to brand guidelines
File upload Accept vector and raster files; specify formats and size limits
Audit trail Enable automatic event logging and final PDF certificate

Where to send, file, or submit the completed agreement

Designate primary recipients and repositories so each executed copy is discoverable and accessible to stakeholders.

  • Brand legal: Primary executed copy for legal records and enforcement
  • Brand operations: Copy for design and production teams
  • Licensee records: Licensee retains signed agreement for compliance
  • Central archive: Store final PDF in a controlled document repository

Secure distribution and platform capabilities to consider

Prefer platforms that provide tamper-evident signed PDFs and centralized storage for compliance and later auditing.

  • File formats: PDF, DOCX, and SVG supported
  • Integrations: Connectors for cloud storage and CRM
  • Authentication: Email, SMS, or stronger token-based methods

Common timelines and approval deadlines to set

Define response windows and renewal reminders to avoid lapse or unauthorized use.

Approval response:

7–14 calendar days for proof review

Proof resubmission:

3–7 calendar days for revisions

License renewal notice:

60–90 days before expiration

Post-termination removal:

Licensee must cease use within 5 business days

Record retention:

Retain executed agreement per company retention policy

Common mistakes to avoid when preparing the agreement

  • Vague scope language that permits unintended channels or products, leaving brand dilution risk.
  • Failure to attach or specify exact logo files and color codes, causing inconsistent reproductions.
  • Omitting an explicit approval workflow and contact, which delays publishing and increases compliance gaps.
  • Not including post-termination obligations, permitting continued use or cached assets after license ends.

Consequences of an incorrect or incomplete agreement

Trademark dilution: Loss of exclusivity or weakened mark protection
Injunction risk: Court may order immediate cessation of use
Damages exposure: Monetary liability for infringement or breach
Contract rescission: Agreement subject to cancellation for material defects
Reputational harm: Poor brand presentation damages trust
Operational disruption: Removed assets interrupt marketing campaigns

Attach master brand files
Provide high-resolution vector files (SVG or EPS) and a one‑page style guide to avoid downstream adjustments.
Set firm approval timelines
Specify review turnaround windows (for example, 7–14 days) to prevent indefinite delays and unauthorized early publication.
Record final approvals
Maintain a timestamped signed PDF and audit trail to support any future enforcement or quality disputes.
