What a Brewing Company Agreement Covers

A Brewing Company Agreement is a written contract that sets the commercial and operational terms between a brewery and a counterparty — for example, a contract brewer, distributor, retailer, or co-packer. Typical clauses specify scope of services, production volumes and schedules, quality and testing standards, pricing and payment terms, intellectual property and recipe ownership, insurance and indemnity, regulatory compliance, term and termination, and dispute resolution. The agreement can be executed in paper or electronically; where appropriate, e-signatures and audit trails preserve enforceability under applicable U.S. e-signature laws.

Why a Clear Agreement Matters for Breweries

A precise Brewing Company Agreement reduces commercial disputes, documents compliance obligations for alcohol licensing and labeling, allocates production risk and costs, and creates a clear record for tax and regulatory reviews.

Why a Clear Agreement Matters for Breweries

Primary Parties and Stakeholders

Legal, finance, supply chain, and operations teams commonly review terms before execution to ensure regulatory and commercial alignment.

  • Craft breweries and brewery owners who control recipes, branding, and distribution commitments.
  • Contract brewers and co-packers responsible for production, packaging, and quality control obligations.
  • Distributors, wholesalers, and on-premise retailers that buy, store, or resell finished product.

Core Sections to Include

A professional Brewing Company Agreement organizes rights and obligations so the parties understand deliverables, quality standards, pricing, and legal exposures.

Parties & Recitals

Identify each legal entity by exact legal name, jurisdiction of formation, and role in the relationship; include background facts to clarify intent and context for obligations.

Scope of Services

Describe products, recipes, packaging formats, volumes, production windows, lead times, and responsibilities for sourcing raw materials or ancillary services.

Production & Quality

Set measurable quality standards, sampling and testing procedures, rejection/acceptance criteria, corrective action timelines, and who pays for rework or destroyed batches.

Pricing & Payment

Specify unit prices, price adjustment mechanisms, invoicing schedule, payment terms (Net 30, etc.), late fees, and who bears taxes or excise duties.

IP & Confidentiality

Allocate ownership of recipes, trademarks, formulations, and specify confidentiality obligations and permitted uses of proprietary information.

Liability & Termination

Define insurance and indemnity obligations, caps on liability where appropriate, termination triggers, cure periods, and post-termination responsibilities for inventory and IP.

Step-by-Step: From Draft to Execution

Follow a structured sequence to minimize risk and ensure commercial and regulatory readiness before execution.

  • 01
Prepare Draft: Assemble standard clauses and adapt scope, volumes, and pricing for the transaction.
  • 02
Review with Counsel: Legal review focuses on liability, IP, and alcohol-specific regulatory requirements.
  • 03
Obtain Approvals: Get sign-off from operations, finance, and licensing teams before finalizing terms.
  • 04
Execute & Archive: Sign with agreed method (wet or e-sign), distribute fully executed copies, and store securely.

Configure an Online Signing Workflow

Set up a repeatable digital workflow so each agreement follows the same verification and storage steps.

Field Configuration
Signature Field Assign role-based signature blocks and required date fields.
Signer Authentication Use email link or SMS code for signer verification; enable stronger auth for high-risk deals.
Conditional Sections Show or hide clauses (e.g., co-packing specifics) based on selected options.
Template Saving Save standard templates to reduce manual edits and maintain consistency.

Typical eSignature Flow for the Agreement

A standard e-signature workflow reduces turnaround and creates a permanent audit trail for each execution step.

  • Upload Document: Upload the final PDF or DOCX version to the e-sign platform.
  • Place Fields: Add signature, date, and required data fields for each signer role.
  • Send to Signers: Send secure links or email invites to parties in defined signing order.
  • Audit Trail & Store: Capture timestamps, IPs, and authentication records and save the completed file.

Technical and Integration Considerations

Ensure the provider supports audit trails, retention policies, and any industry-specific controls required by your legal or compliance teams.

  • Integrations: Works with Salesforce, NetSuite, Microsoft 365, Google Workspace.
  • File Formats: Support for PDF, Word (DOCX), and XLSX for attachments.
  • Security Standards: TLS in transit and AES-256 at rest for document protection.

Key Legal and Operational Risks

Ambiguous Terms: May lead to contract disputes
Missing Signatures: Can render agreement unenforceable
Regulatory Noncompliance: Risk fines or permit suspension
Late Payments: Triggers interest and collection costs
IP Ownership: Unclear ownership causes long-term disputes
Tax Reporting: Incorrect reporting can trigger IRC penalties

Common Preparation Mistakes to Avoid

  • Vague product descriptions or unspecified tolerances that lead to disagreement on acceptability of delivered batches.
  • Failing to include clear quality control steps and acceptance tests, which creates delays when samples are disputed between parties.
  • Not documenting insurance and indemnity limits, exposing smaller partners to outsized liability for product claims or property damage.
  • Overlooking state alcohol licensing and excise tax responsibilities that can result in administrative fines or disrupted distribution.

Illustrative Use Cases

These examples show how different parties use a Brewing Company Agreement to structure production and commercial relationships.

Seasonal Co‑Pack Arrangement

A craft brewery contracts a co‑packer for an autumn seasonal batch to meet peak demand.

  • The co‑packer agrees to specific ABV and packaging formats.
  • The agreement defines acceptance testing, timelines, and remedies for failed batches to ensure reliable seasonal launches and protect brand quality.

Private Label Production

A retailer engages a brewery to produce a private‑label line sold exclusively in its stores.

  • The contract sets minimum volumes, exclusivity term, and price breaks.
  • IP and labeling clauses assign recipe confidentiality to the brewery while granting the retailer limited branding rights under defined conditions.

Practical Tips for Accurate and Efficient Completion

Adopt consistent drafting and execution practices to reduce risk and speed deal cycles.

Use Standard Templates
Maintain a vetted template with modular clauses for production, labeling, and QA; this reduces attorney hours and ensures consistent protection across similar deals.
Define Measurable Quality
Include specific testing protocols, acceptable tolerance ranges, and dispute resolution steps so both parties know when a batch meets contractual standards.
Set Clear Payment Terms
Spell out invoice timing, approved deductions, interest on late payments, and who bears excise or transportation costs to avoid cashflow disputes.
Record Regulatory Responsibilities
Document which party secures and maintains state liquor licenses, labeling approvals, and excise tax filings to avoid operational interruptions and fines.

Typical Signatories and Their Roles

Owner / CEO

The owner or chief executive typically signs for authorization of long‑term commercial commitments and IP provisions. Their signature confirms strategic approval, financial responsibility, and acceptance of termination and liability clauses.

Operations Manager / Brewmaster

An operations lead or brewmaster may sign technical schedules or quality‑related addenda to confirm production feasibility and acceptance criteria. Their signoff documents operational alignment and readiness to meet contractual specifications.

Typical Contract Dates and Deadlines

Identify key calendar dates in the agreement to manage production and commercial obligations.

Effective Date:

Date when contractual obligations commence (MM/DD/YYYY).

Production Schedule:

Delivery windows and batch dates agreed by parties in the appendix.

Invoice Due Date:

Commonly Net 30 from invoice date; specify late fee terms.

Quality Approval Window:

Number of days allowed to test and accept or reject a batch after delivery.

Renewal Notice:

Advance notice period (e.g., 60–90 days) for contract renewal or nonrenewal.
