BRIDGE LOAN AGREEMENT

This Bridge Loan Agreement (the "Agreement") is made and entered into as of (the "Effective Date"), by and between:

Recitals

WHEREAS, Lender agrees to lend to Borrower, and Borrower agrees to borrow from Lender, the principal sum and on the terms set forth herein as an interim, short-term financing facility commonly referred to as a bridge loan; and

Loan Terms

Repayment shall be made as follows: Borrower shall pay interest in arrears on the outstanding principal balance at the rate set forth above and shall repay principal on the Maturity Date unless otherwise agreed in writing. Borrower may prepay the Loan in full or in part subject to any prepayment premium described below.

Security and Collateral

This Loan is Secured Unsecured. If secured, Borrower grants to Lender a security interest in the collateral described below and agrees to deliver such security documents and perfection filings as requested by Lender.

Representations, Warranties and Covenants

Borrower represents and warrants that all financial statements and other information furnished to Lender are true and correct in all material respects, that Borrower has full power and authority to execute and perform this Agreement, and that no consent of any third party is required except as disclosed. Borrower covenants to maintain the collateral, keep proper books of account, and provide Lender with periodic financial information upon request.

Events of Default and Remedies

The following shall constitute Events of Default: failure to pay principal or interest when due; breach of any representation, warranty or covenant; insolvency or commencement of bankruptcy proceedings by or against Borrower; cross-default under material agreements. Upon Event of Default, Lender may, at its option, accelerate the entire indebtedness, enforce remedies against collateral, collect costs and expenses (including reasonable attorneys' fees), and exercise any other rights available at law or equity.

Notices

All notices, demands and communications required or permitted hereunder shall be in writing and shall be delivered to the addresses set forth below or to such other address as either party may designate by notice.

Costs, Expenses and Indemnity

Borrower shall pay all reasonable costs and expenses incurred by Lender in connection with the preparation, enforcement and amendment of this Agreement, including filing and recording fees and reasonable attorneys' fees. Borrower shall indemnify and hold Lender harmless from any losses, claims or liabilities arising out of Borrower's breach of this Agreement, except to the extent caused by Lender's gross negligence or willful misconduct.

Miscellaneous

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state selected by the parties.

Assignment and Amendments: Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other, except that Lender may assign or pledge the Loan to a transferee. This Agreement may be amended only by a written instrument signed by both parties.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Counterparts: This Agreement may be executed in counterparts, each of which shall be deemed an original.

Acknowledgment

Each party represents that the person signing below is authorized to bind such party and that the party has received all necessary corporate or other approvals to enter into and perform this Agreement. The parties hereby acknowledge and agree to the terms set forth above.
