What the Broker-Carrier Service Agreement Is

A Broker-Carrier Service Agreement is a written contract that defines the commercial relationship, responsibilities, and compensation between a freight broker and a motor carrier. It sets out brokerage authority, rate and payment terms, insurance and liability allocations, cargo handling expectations, indemnities, and termination provisions. The agreement helps manage operational risk, ensures both parties meet regulatory obligations, and creates a record used for billing, claims, and audits. Although not always required to be notarized, a clear, signed agreement reduces disputes and supports compliance with federal transportation rules and commercial practices.

Why a Clear Broker-Carrier Agreement Matters

A written Broker-Carrier Service Agreement clarifies obligations, reduces claim disputes, allocates insurance responsibility, and documents payment terms for audits or regulatory review.

Why a Clear Broker-Carrier Agreement Matters

Who Typically Completes This Agreement

Each signatory should confirm authority to bind the company and provide required supporting documentation such as insurance certificates and motor carrier (MC) numbers.

  • Brokerage firms and third-party logistics providers arranging freight and carrier selection.
  • Motor carriers (common, contract, or private carriers) who accept freight assignments and liability terms.
  • Shippers and freight forwarders when acting as intermediaries or requiring contractual protections.

Core Clauses to Include in a Professional Agreement

A complete Broker-Carrier Service Agreement covers operational, financial, and legal items. Below are six clause types commonly found in well-drafted contracts.

Scope of Services

Define accepted shipment types, geographic limits, and whether the carrier operates as common, contract, or brokered carrier; state routing and detention expectations.

Compensation & Payment

Specify rates, invoicing procedure, payment terms, late fees, and adjustments for fuel surcharges or accessorial charges to avoid disputes.

Liability & Insurance

State required insurance types and minimum coverages, cargo limits, who files claims, and insurer contact information for claims handling.

Indemnification

Describe mutual indemnities for third-party claims, defense obligations, and any limitations on consequential damages or indemnity caps.

Compliance & Credentials

Require valid USDOT/MC numbers, operating authority, safety ratings, permits, and representations about regulatory compliance.

Term, Termination & Remedies

Set effective date, renewal or automatic renewal terms, termination for convenience or breach, cure periods, and post-termination obligations.

Step-by-Step: How to Complete the Agreement

  • 03
Sign and Authenticate: Obtain signatures from authorized representatives and record execution dates.

Where to Send and How to Route the Agreement

  • Finance: Provide final agreement and invoice instructions to accounts payable.
  • Compliance: Supply COI and registration documents to compliance team.

Key Timeframes and Processing Expectations

Typical timing and deadlines affecting agreements include onboarding verification windows, payment due dates, and insurance renewal alignments.

Onboarding Verification:

Allow 48–72 hours for COI and MC verification

Payment Due Date:

Follow the payment term specified, commonly Net 30

Insurance Renewal:

Request updated COI at least 30 days before expiration

Claims Reporting:

Report cargo claims within contract-specified period, often 9 months

Document Retention:

Retain active contracts and attachments for the stated retention period

Common Mistakes to Avoid

  • Failing to verify carrier operating authority and insurance leading to uncovered claims and regulatory exposure.
  • Leaving payment terms vague or inconsistent with invoices, which causes disputes and delayed payments.
  • Permitting unsigned or partially signed agreements into operation, undermining enforceability in claims.
  • Not attaching required supporting documents (W-9, COI, MC) at signing, which blocks onboarding and audit readiness.

Penalties and Risks from an Incorrect Agreement

Liability Exposure: Carrier or broker may face uninsured loss if coverage requirements are incorrect.
Payment Disputes: Ambiguous payment clauses can lead to withheld invoices and litigation.
Regulatory Fines: Operating without verified authority may trigger penalties from FMCSA or state agencies.
Claim Denial: Improperly documented claims risk denial by insurers for procedural defects.
Contract Voidance: Material misrepresentations can render parts of the agreement unenforceable.
Audit Findings: Incomplete records increase exposure during financial or compliance audits.
