If Seller materially breaches this Commitment, Broker may terminate the listing and seek recovery of actual out-of-pocket marketing expenses and any earned commission to the extent permitted by law. If a sale results from Broker's efforts within the Term or any agreed extension, commission remains payable even if Seller claims a subsequent listing by another broker.

Indemnification; Limitation of Liability

Seller agrees to indemnify Broker against claims, liabilities, costs and expenses arising from Seller's misrepresentations, failure to disclose, or breach of obligations under this Commitment.
