BROKERAGE SERVICES AGREEMENT

This Brokerage Services Agreement (the "Agreement") is entered into as of Effective Date: by and between Client Name: and Broker Name: .

WHEREAS

WHEREAS, Client desires to engage Broker to identify potential counterparties, purchasers, sellers, lessees, investors or other transaction opportunities with respect to the assets, equity, business or property described in the Scope of Services; and

WHEREAS, Broker represents that it has the skill, experience, licenses and contacts necessary to perform the brokerage services described herein and is willing to perform such services under the terms and conditions of this Agreement.

WHEREAS, the parties mutually desire to set forth their rights and responsibilities with respect to Broker's engagement and compensation.

SCOPE OF SERVICES

Broker shall use commercially reasonable efforts to solicit, evaluate and present potential transaction opportunities to Client and to advise Client regarding negotiation and documentation of transactions. Broker's duties do not include legal, tax or accounting advice; Client shall retain independent advisors for such matters.

COMPENSATION AND PAYMENT TERMS

Client agrees to pay Broker a commission equal to % of the gross transaction value (the "Commission") for each transaction introduced by Broker and closed within the Term.

All amounts due to Broker shall be payable within days of invoice. Overdue amounts shall accrue interest at the rate of % per month or the maximum permitted by law, whichever is lower.

TERM AND TERMINATION

The term of this Agreement shall commence on Start Date: and continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing days' prior written notice to the other party. Termination shall not relieve Client of its obligation to pay Broker for services rendered and commissions earned or for transactions introduced by Broker prior to termination that close within days after termination.

CONFIDENTIALITY

Each party shall keep confidential and shall not disclose to any third party any Confidential Information of the other party except as required by law or with the disclosing party's prior written consent. "Confidential Information" includes non-public business, financial, operational, technical and strategic information disclosed in connection with this Agreement, whether disclosed orally, in writing or electronically. The receiving party shall use Confidential Information only to perform its obligations under this Agreement and shall take reasonable measures to protect such information from unauthorized disclosure.

REPRESENTATIONS; WARRANTIES; COMPLIANCE

Each party represents and warrants that it has the corporate power and authority to enter into this Agreement and to perform its obligations hereunder. Broker represents that it will perform services in a professional manner consistent with industry standards and in compliance with applicable laws, licensing and brokerage regulations.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or written schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing signed by both parties.

NOTICES

All notices, requests and other communications required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party designates by notice in accordance with this Section; notices shall be effective upon receipt.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Broker may assign to an affiliate or successor in interest.
