In consideration of the payment identified above and other good and valuable consideration, Builder hereby unconditionally (subject to paragraph below) releases, waives and forever discharges Owner and Owner's successors and assigns from all claims, demands, liens, causes of action, and rights to record a mechanics' or materialmen's lien arising out of or relating to the Contract, the Work performed at the Property, or any related change orders, to the extent of the funds actually received by Builder as set forth in this Release.

Builder further represents and warrants that Builder has paid or will timely pay all subcontractors, suppliers and material providers for the portion of the Work covered by the payment described herein. Builder agrees to indemnify, defend and hold Owner harmless from any lien, claim or demand arising from Builder's failure to pay any subcontractor, supplier, laborer or material provider for Work performed through the date of this Release.

Unless an unconditional final lien waiver is attached and executed contemporaneously, this Release is a conditional release effective only upon receipt and clearance of final payment. If payment is dishonored, this Release shall be void ab initio and Builder's rights and remedies shall be restored to the extent permitted by law.

Builder certifies that, to Builder's knowledge, all Work performed through the Effective Date complies with applicable codes, permits and inspections except as specifically identified in writing and attached hereto. Any items of incomplete or deficient Work are listed in an attached punch list and are not the subject of this Release to the extent so identified.

Representations and Indemnity

Builder represents that it has authority to execute this Release, that no other person or entity holds an interest in the funds realized by Builder for the Work described herein, and that there are no undisclosed claims for labor or materials that would give rise to a lien not satisfied by the attached waivers. Builder shall indemnify Owner against any liens, claims, costs or attorneys' fees asserted by subcontractors, suppliers or laborers arising from acts or omissions of Builder, except to the extent such claims arise from Owner's breach.

Default; Remedies; Governing Law

If a party breaches this Release, the non-breaching party shall be entitled to pursue all remedies available at law or in equity, including recovery of attorneys' fees and costs. This Release shall be governed by the laws of the state in which the Property is located. Venue shall lie in the county where the Property is located.

Entire Agreement; Survival

This Release constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes prior written or oral agreements to the extent they conflict with this Release. Provisions that by their nature are intended to survive termination shall survive.

Additional Notices

Owner and Builder acknowledge that they have read this Release, understand its terms, and execute it knowingly and voluntarily. Any modification of this Release must be in writing signed by both parties.
