BUILDING CONTRACT AGREEMENT

This Building Contract Agreement (the "Agreement") is entered into on between the parties identified below.

All changes to the Scope of Work, Contract Price, or Schedule shall be made only by written Change Order signed by Owner and Contractor. No oral instructions shall be binding. Change Orders shall set forth the adjustment to the Contract Price and the Schedule.

Contractor may engage subcontractors but remains fully responsible for performance. Contractor shall provide lien waivers for Contractor and subcontractors upon progress and final payments.

Owner represents to the best of Owner's knowledge the condition of the property with respect to the following. Contractor shall verify and notify Owner if hazardous conditions are discovered.

Warranties and Correction of Work

Contractor warrants that materials and workmanship provided under this Agreement will be free from defects for a period of from the date of substantial completion. Contractor shall promptly correct defective work at Contractor's expense.

Delay, Excusable Events and Force Majeure

Either party shall be entitled to an extension of time for delays caused by events beyond its reasonable control, including but not limited to acts of God, utility outages, strikes, shortages of materials, pandemics, or governmental orders. Contractor must notify Owner in writing within a reasonable time of any excusable delay.

Default, Termination and Remedies

Material breach by either party that remains uncured for a period of ten (10) days after written notice shall constitute default. The non‑defaulting party may pursue available remedies at law or in equity, including termination, damages, and completion by others. Owner may withhold payments for defective or incomplete work.

Indemnity and Liability

Contractor shall indemnify, defend and hold Owner harmless from claims, damages, losses and expenses arising out of Contractor's performance, except to the extent caused by Owner's gross negligence or willful misconduct. Limitation of liability shall not apply to willful misconduct or statutory obligations.

Mechanics' Liens and Releases

Contractor shall keep the Property free from all mechanics' and materialmen's liens. Contractor shall promptly discharge any lien arising from Contractor's acts by bond or payment and shall indemnify Owner against lien claims.

Dispute Resolution and Governing Law

The parties agree to negotiate in good faith. If unresolved, disputes shall be subject to binding arbitration conducted under the rules selected by the parties and the award may be entered in any court of competent jurisdiction. This Agreement shall be governed by the laws of the state of .

Entire Agreement

This Agreement, including attached plans, specifications and Change Orders, constitutes the entire agreement between the parties and supersedes prior negotiations and representations. No amendment shall be effective unless in writing and signed by both parties.

Notices

All notices required or permitted shall be in writing and delivered to the addresses set forth in this Agreement by personal delivery, certified mail (return receipt requested), or overnight courier and shall be effective upon receipt.
