Business ACC Document

This Business ACC Document (the "Agreement") is entered into as of by and between Client Name: and Provider Name: .

Recitals

WHEREAS, Client engages Provider to perform certain services related to the development, administration, and support of account control and operational processes (collectively, the "Services"); and

WHEREAS, Provider represents that it has the requisite experience, personnel, and capacity to perform the Services in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth the terms governing Provider's performance, compensation, confidentiality, and other obligations.

Scope of Work

Provider shall perform the Services as described below. Provider shall deliver work products and provide periodic reporting as set forth in this Section.

Payment Terms

In consideration for the Services, Client will pay Provider the fees set forth below. Unless otherwise agreed in writing, all amounts are payable in U.S. Dollars.

Any undisputed amount not paid when due shall accrue interest at the lesser of (a) or (b) the maximum rate permitted by applicable law. Client shall also reimburse Provider for reasonable collection costs, including attorneys' fees, incurred in collecting past-due amounts.

Term and Termination

This Agreement commences on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement without cause upon written notice to the other party given at least days prior to the effective date of termination.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within 15 days after receipt of written notice specifying the breach. Termination shall not affect rights or obligations accrued prior to termination.

Confidentiality

"Confidential Information" means information disclosed by one party ("Disclosing Party") to the other ("Receiving Party") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes business plans, account data, technical information, and customer lists.

The Receiving Party shall (a) use Confidential Information only to perform its obligations under this Agreement; (b) restrict disclosure to employees and subcontractors on a need-to-know basis who are bound by obligations of confidentiality at least as protective as those herein; and (c) take reasonable measures to protect Confidential Information from unauthorized disclosure. The obligations in this Section do not apply to information that is public through no fault of the Receiving Party, lawfully obtained from a third party, or independently developed without reference to the Disclosing Party's Confidential Information.

Representations and Warranties

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder. Provider further represents that the Services will be performed in a professional and workmanlike manner in accordance with industry standards.

Limitation of Liability

Except for liability arising from breach of confidentiality or willful misconduct, in no event shall either party be liable for consequential, incidental, special, or punitive damages. The aggregate liability of either party for claims arising under this Agreement shall not exceed the total fees paid by Client to Provider under this Agreement during the twelve (12) months preceding the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties agree that any dispute arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located within that state, and the parties submit to the personal jurisdiction of such courts.

Entire Agreement

This Agreement, including any exhibits and written statements of work expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.
