What the Business Acceptance Terms Annex Is

The Business Acceptance Terms Annex is a contractual attachment that records agreed conditions under which a business accepts goods, services, or contractual obligations from another party. It clarifies acceptance criteria, inspection periods, remedy processes, transfer of title, and risk allocation. Commonly appended to purchase agreements, service contracts, and project statements of work, the annex reduces ambiguity about when acceptance occurs and which remedies apply. It is intended for use in business-to-business transactions and should reference the governing agreement and applicable law.

Why Add an Acceptance Annex to Your Contract

Use a Business Acceptance Terms Annex to set measurable acceptance tests, protect against latent defects, and limit disputes. It streamlines inspection, defines correction windows, and preserves remedies. Clear acceptance criteria reduce litigation risk and improve contractual certainty between commercial parties.
