BUSINESS ACCORD TEMPLATE

This Business Accord (the "Agreement") is made and entered into as of Effective Date: by and between:

RECITALS

WHEREAS, Client desires to engage Provider to perform certain professional services as set forth in this Agreement, and Provider represents that it has the qualifications, experience and ability to perform such services in a professional and timely manner; and

WHEREAS, the parties seek to define their respective rights and obligations with respect to the provision and payment for those services and to establish terms for confidentiality, performance and termination.

SCOPE OF WORK

Provider shall perform the services described below in a professional and workmanlike manner consistent with industry standards and in accordance with the schedule agreed by the parties.

PAYMENT TERMS

Compensation: Client shall pay Provider for the services performed the sum of (the "Fee"), subject to adjustments as provided in this Agreement.

Invoices: Provider shall submit invoices in accordance with the schedule above. Unless otherwise agreed in writing, Client shall pay each invoice within days of receipt.

Late Payment: Any amount not paid when due shall accrue interest at the lesser of (a) per month, or (b) the maximum rate permitted by applicable law. Client shall also be responsible for reasonable collection costs and attorneys' fees incurred by Provider in enforcing payment.

TERM AND TERMINATION

Term: This Agreement shall commence on and shall continue until unless earlier terminated as provided below.

Termination for Convenience: Either party may terminate this Agreement for any reason upon giving written notice to the other party at least days prior to the intended termination date. Termination shall not relieve Client of its obligation to pay for services rendered and expenses incurred prior to the effective date of termination.

Termination for Cause: Either party may terminate for material breach if the breaching party fails to cure such breach within fifteen (15) days after written notice, or immediately if the breach is incapable of cure.

CONFIDENTIALITY

Definition: "Confidential Information" means all non-public information disclosed by one party to the other, whether oral, written, electronic or other form, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Obligations: Each receiving party shall (a) hold Confidential Information in strict confidence and take reasonable measures to protect it, (b) not use Confidential Information except to perform its obligations under this Agreement, and (c) not disclose Confidential Information to any third party except to employees, agents or subcontractors who have a need to know and are bound by confidentiality obligations no less protective than those herein.

Exclusions and Required Disclosures: Confidential Information does not include information that is or becomes publicly available other than by breach of this Agreement, or that is independently developed or rightfully received from a third party without restriction. If a receiving party is compelled by law to disclose Confidential Information, it shall provide prompt notice to the disclosing party and, where permitted, cooperate in seeking confidential treatment or a protective order.

Duration: The confidentiality obligations shall survive termination of this Agreement for a period of years, except with respect to trade secrets which shall be protected for as long as they remain trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. Venue for any dispute arising out of this Agreement shall be in the state or federal courts located within that State.

MISCELLANEOUS PROVISIONS

Independent Contractor: Provider is an independent contractor and nothing in this Agreement creates an employment, partnership, joint venture, agency or fiduciary relationship between the parties.

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or in connection with a merger, acquisition or sale of substantially all of its assets provided the assignee assumes the assigning party's obligations.

Indemnification: Each party shall indemnify and hold harmless the other from and against any third-party claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising from its gross negligence or willful misconduct in connection with performance under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the contact addresses set forth above or to such other address as a party may designate by notice. Notices shall be deemed given when delivered personally, sent by confirmed electronic transmission, or three (3) days after deposit with a nationally recognized overnight courier.
