BUSINESS ACCOUNT AGREEMENT AND APPLICATION

Recitals

WHEREAS, Account Holder: (the "Account Holder") seeks to open and maintain a business account and obtain related services offered by the Service Provider; and

WHEREAS, Service Provider: (the "Service Provider") provides business account, payment processing, and associated administrative services; and

WHEREAS, the parties desire to set forth the terms and conditions under which the Service Provider will establish and maintain the Account Holder's business account and provide the requested services;

Scope of Work

The Service Provider shall establish and maintain the requested accounts, provide access to online and/or physical account management tools, process transactions as authorized by the Account Holder, administer billing and collection of fees, and provide operational support and reporting as described below. The parties agree that the scope may include such ancillary services as reconciliation, chargeback management, and fraud monitoring where selected.

Payment Terms

Account Holder agrees to pay all fees and charges assessed by the Service Provider in consideration for services. Fees are non-refundable unless expressly stated otherwise.

Term and Termination

This Agreement commences on the Effective Date below and shall continue until the End Date or until earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing the notice period set forth above. Service Provider may suspend services immediately where required by law, regulation, or reasonable suspicion of unlawful activity, fraud, or payment default.

Confidentiality

Each party shall hold in strict confidence all non-public business and financial information obtained from the other party in connection with this Agreement ("Confidential Information"). Confidential Information shall not include information that is or becomes publicly available through no fault of the receiving party, or that is independently developed by the receiving party. The receiving party shall use Confidential Information only for the purposes of performing its obligations under this Agreement and shall restrict access to employees and agents who have a need to know and are bound by confidentiality obligations at least as protective as those set forth herein. This obligation continues for five (5) years following termination of this Agreement, except with respect to trade secrets, which shall be protected for as long as they qualify as trade secrets.

Representations, Warranties and Indemnity

Account Holder represents and warrants that it is duly organized and in good standing, that the signatory is authorized to execute this Agreement on its behalf, and that providing the information herein does not breach any other agreement. Account Holder shall indemnify and hold Service Provider harmless from liabilities, losses, damages, and costs (including reasonable attorney's fees) arising from Account Holder's breach, fraudulent activity, or violations of law in connection with the account.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State where the Service Provider maintains its principal place of business, without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for purposes of resolving disputes arising under this Agreement.

Entire Agreement

This Agreement, together with any fee schedule, addenda, or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior understandings and agreements, whether written or oral. No modification shall be effective unless in writing and signed by authorized representatives of both parties.

Certifications and Authorizations

The undersigned certifies under penalty of perjury that the information provided in this Application is true and correct, that the undersigned is authorized to execute this Agreement on behalf of the Account Holder, and that Account Holder consents to Service Provider obtaining such credit, identity, and background information as reasonably necessary to open and administer the account.
