Recitals

WHEREAS, Company performs business operations that require specialized services related to business development, procurement, and advisory support (the "Services"); and

WHEREAS, Contractor represents that it has the experience, personnel, and capacity to perform the Services described in this Agreement and is willing to provide such Services to Company on the terms set forth herein; and

WHEREAS, the parties desire to set forth their mutual rights and obligations with respect to the Services and payments therefor.

Scope of Work

Contractor shall perform the Services in a professional and workmanlike manner in accordance with industry standards and shall provide progress reports as reasonably requested by Company. Contractor will supply all labor, materials and equipment necessary to complete the Services except as otherwise agreed in writing.

Payment Terms

Payments shall be made in accordance with the Payment Schedule. Contractor shall submit invoices specifying work performed and amounts due. Company shall pay undisputed invoices within days of receipt unless otherwise agreed in writing.

Late Payment: Any overdue amount shall accrue interest at a rate of or the maximum rate permitted by law, whichever is lower. In addition, Company shall pay any reasonable collection costs, including attorneys' fees, incurred by Contractor to collect overdue amounts.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may also terminate for material breach if the breaching party fails to cure such breach within 30 days after receipt of written notice specifying the nature of the breach.

Confidentiality

Each party (the "Receiving Party") agrees that it shall hold in strict confidence and shall not disclose to any third party any non-public information, trade secrets, customer lists, pricing, business plans or other confidential information disclosed by the other party (the "Disclosing Party") except as necessary to perform this Agreement or as required by law. Confidential information shall not include information that is or becomes publicly known through no wrongful act of the Receiving Party, or that is rightfully received by the Receiving Party from a third party without restriction.

Confidentiality Duration: The obligations of confidentiality shall survive termination of this Agreement for years from the date of disclosure.

Indemnification and Limitation of Liability

Contractor shall indemnify, defend and hold harmless Company from and against any third-party claims, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of Contractor's gross negligence or willful misconduct in the performance of the Services. Except for liability arising from gross negligence, willful misconduct or breach of confidentiality, neither party shall be liable for incidental, consequential or punitive damages.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflicts of law principles.

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, sale of substantially all assets, or change of control.

Entire Agreement

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.
