BUSINESS ACO DOCUMENT

This Business ACO Agreement ("Agreement") is entered into as of Effective Date: by and between:

Parties

Recitals

WHEREAS, Party A is engaged in the business of coordinating care, managing population health initiatives and operating accountable care arrangements designed to improve quality and reduce cost; and

WHEREAS, Party B possesses capabilities to provide administrative, data aggregation, practice transformation, and care management services necessary for the operation of an Accountable Care Organization; and

WHEREAS, the parties desire to set forth the terms by which Party B will perform specified services for Party A and the compensation, confidentiality obligations, term and termination conditions, and other material terms governing their relationship.

Scope of Work

Party B shall provide the services and deliverables described below. The parties acknowledge that scope adjustments may be made only by written amendment signed by authorized representatives of both parties.

Payment Terms

In consideration for the performance of the Scope of Work, Party A shall pay Party B according to the terms set forth below. All payments are exclusive of taxes unless otherwise required by law.

All undisputed invoices are due within days of receipt. Party B shall submit itemized invoices in a form reasonably acceptable to Party A. Disputed amounts must be identified in writing within ten (10) days of invoicing, and the parties shall promptly resolve disputes in good faith.

Term and Termination

This Agreement shall commence on Start Date: and shall continue in full force until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement without cause by providing written notice to the other party at least days prior to the effective date of termination. Either party may terminate immediately for material breach that remains uncured for thirty (30) days after written notice, or for insolvency, bankruptcy filing, or cessation of business operations.

Confidentiality

"Confidential Information" means all non‑public information disclosed by either party to the other, whether oral, written or electronic, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including business plans, patient lists, risk scores, payer contracts, pricing, and proprietary processes.

Each party shall (a) use Confidential Information solely to perform its obligations under this Agreement; (b) restrict disclosure to its employees, contractors, or agents who have a need to know and who are bound by confidentiality obligations at least as protective as those herein; and (c) employ reasonable safeguards to protect Confidential Information from unauthorized use or disclosure. Confidential Information does not include information that: (i) is or becomes generally available to the public other than by breach of this Agreement; (ii) was in the receiving party's lawful possession prior to disclosure; (iii) is independently developed without use of the disclosing party's Confidential Information; or (iv) is disclosed pursuant to a court order or other legal compulsion, provided the receiving party gives prompt notice and cooperates with reasonable efforts to limit disclosure.

The obligations of confidentiality shall survive termination of this Agreement for a period of years, except with respect to trade secrets, which shall be protected for so long as they qualify as trade secrets under applicable law.

Indemnification and Liability

Each party shall indemnify, defend and hold harmless the other party and its officers, directors and employees from and against any claims, liabilities, losses or expenses (including reasonable attorneys' fees) arising out of the indemnifying party's negligence, willful misconduct, or material breach of this Agreement. Except for breaches of confidentiality, indemnification obligations, or gross negligence or willful misconduct, neither party's aggregate liability for direct damages arising out of or related to this Agreement shall exceed the total fees paid or payable to Party B under this Agreement during the twelve (12) month period preceding the claim.

Compliance with Laws

Each party shall perform its obligations in compliance with all applicable federal and state laws and regulations, including laws applicable to patient privacy and data security. The parties will implement reasonable technical and organizational safeguards to protect personal data and will cooperate in meeting reporting obligations in the event of a security incident.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

Entire Agreement

This Agreement, including all exhibits and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings and representations, whether written or oral. No modification of this Agreement will be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors and nothing in this Agreement creates a joint venture, partnership, agency or employment relationship. Notices shall be in writing and delivered to the addresses set forth above or as otherwise designated in writing.
