BUSINESS ACO AGREEMENT

This Business ACO Agreement (the "Agreement") is entered into as of by and between:

RECITALS

WHEREAS, Sponsor operates and manages population health initiatives and seeks to engage Participant to perform care coordination, quality improvement and administrative services consistent with the accountable care organization model; and

WHEREAS, Participant possesses the experience, personnel, and systems necessary to perform the Services described herein and agrees to furnish such Services to Sponsor under the terms and conditions of this Agreement; and

WHEREAS, the parties desire to set forth their understanding regarding the scope, compensation, confidentiality, term and other material obligations between them.

SCOPE OF WORK

1. Services. Participant shall perform the services described below (the "Services") in a professional and timely manner in accordance with applicable professional standards and the terms of this Agreement.

PAYMENT TERMS

2. Compensation. In consideration for the Services, Sponsor shall pay Participant the fees set forth below in United States dollars. Payment obligations are subject to Participant's satisfactory performance and compliance with this Agreement.

3. Invoicing and Records. Participant shall submit invoices in accordance with the Payment Schedule. Sponsor shall remit undisputed amounts within the period specified above. Disputed amounts must be notified in writing with supporting documentation within thirty (30) days of invoice receipt.

TERM AND TERMINATION

4. Term. The term of this Agreement shall commence on and continue until unless earlier terminated in accordance with this Agreement.

5. Termination for Convenience. Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective termination date.

6. Termination for Cause. Either party may terminate for material breach if the breaching party fails to cure within thirty (30) days after receipt of written notice specifying the breach. Termination shall be without prejudice to any other remedies available at law or equity.

CONFIDENTIALITY

7. Confidential Information. Each party acknowledges that in the performance of this Agreement it may receive confidential and proprietary information of the other party ("Confidential Information"). Except as required by law, a receiving party shall (a) use Confidential Information only to perform its obligations under this Agreement; (b) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information; and (c) not disclose Confidential Information to any third party without prior written consent of the disclosing party.

8. Protected Health Information. If Confidential Information includes protected health information, the parties shall comply with all applicable privacy and security laws, implement appropriate safeguards, and execute any additional agreements required to permit permitted uses and disclosures necessary to perform the Services.

COMPLIANCE; INSURANCE; INDEMNIFICATION

9. Compliance. Participant shall comply with all applicable laws, rules and regulations in performing the Services, including but not limited to privacy, anti-kickback, and fraud and abuse laws. Each party shall maintain policies and procedures reasonably designed to ensure compliance with applicable laws.

10. Insurance. Participant shall maintain at its expense insurance coverage customary for organizations performing similar services, and shall provide certificates upon reasonable request.

11. Indemnification. Each party shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against any third-party claims, liabilities, losses or expenses arising out of the indemnifying party's breach of this Agreement, willful misconduct, or negligent performance of the Services, except to the extent caused by the other party's negligence or willful misconduct.

INTELLECTUAL PROPERTY AND DATA

12. Ownership. Unless otherwise agreed in writing, each party retains ownership of intellectual property owned or developed prior to this Agreement. Data generated in the performance of the Services shall be owned by Sponsor, subject to Participant's limited license to use such data solely to perform its obligations hereunder.

GOVERNING LAW; ENTIRE AGREEMENT

13. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected below without regard to conflict of law rules.

14. Entire Agreement. This Agreement, including any written attachments and exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any amendment must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

15. Notices. All notices required or permitted shall be in writing and delivered to the addresses set forth above or to such other address as a party shall specify in writing. Notices shall be effective upon delivery.

16. Assignment. Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that Sponsor may assign to an affiliate or successor without consent provided Sponsor remains responsible for obligations hereunder.

17. Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
