What a Business Action by Consent Is and When It Applies

A Business Action by Consent is a written record of corporate or membership approval taken without holding a formal meeting. It is used when directors, managers, or members approve an action unanimously (or by required vote) in writing and enter that approval in the corporate minutes or governing file. Typical uses include approving contracts, appointing officers, adopting amendments, or authorizing filings. This mechanism preserves the legal effect of a meeting decision while reducing scheduling friction and creating a clear documentary trail for auditors, banks, and regulators.

Why Organizations Use a Business Action by Consent

Business Action by Consent speeds decision-making, avoids convening formal meetings, and creates a concise, auditable record. When executed correctly it carries the same legal force as meeting minutes and supports corporate governance, banking, and regulatory needs while documenting who approved the specific action and when.

Why Organizations Use a Business Action by Consent

Who Typically Prepares and Signs These Consent Actions

Business Action by Consent is used across organizational roles; identify the appropriate signers before circulating the document.

  • Corporate directors and board members who approve corporate resolutions without a meeting.
  • LLC managers or members taking written consent in place of a membership meeting.
  • Senior executives (CFO, CEO) when operational approvals must be documented quickly.

After signatures are collected, record the signed consent with corporate minutes and distribute certified copies to key stakeholders per governance rules.

Signers and Approvers

Board Member

A director signs to evidence board-level approval of a corporate action; signatory must be authorized under the bylaws and the action must meet notice and quorum requirements.

LLC Member

A member or manager signs for membership actions; review the operating agreement for voting thresholds and whether unanimous written consent is required for board-substitute actions.

Core Elements to Include in a Professional Consent Document

A well-formed Business Action by Consent is compact but precise: identify parties, state the action, record the vote or consent language, include an effective date, provide signature blocks, and attach relevant exhibits or resolutions.

Caption

Document title and corporate identity: full legal name, state of formation, and entity type to avoid ambiguity across records and filings.

Recital

One or two sentences describing why the consent is being taken, referencing the governing authority in the bylaws or operating agreement.

Resolution Text

Clear, operative language stating the approved action, specific powers granted, dollar amounts or contract IDs, and any conditions precedent.

Vote Statement

A concise statement confirming unanimous written consent or the specific voting outcome required by governing documents.

Signature Blocks

Name, title, printed name, signature line, and date for each signer; include space for corporate seal or notary if required.

Exhibits

Attach relevant contracts, amendments, or board materials as labeled exhibits to preserve the evidentiary link.

Step-by-Step: Prepare, Approve, and Record a Consent

Follow these steps to produce a legally effective written consent and preserve corporate records properly.

  • 01
Draft: Prepare clear resolution text and attach exhibits.
  • 02
Confirm Authority: Check bylaws or operating agreement for required vote and who may sign.
  • 03
Circulate: Send to all required signers with instructions and effective date.
  • 04
Record: File the signed consent in the corporate minute book and update records.

Where the Signed Consent Belongs and Who Receives Copies

After execution distribute and preserve the consent to satisfy governance and third-party requirements.

  • Corporate Minute Book: Retain the original signed consent with corporate minutes and records.
  • Signers: Provide each signer a copy for their records.
  • Third Parties: Share certified copies with banks, counsel, or title agents as needed.
  • State Filings: If the action amends articles, file required forms with the Secretary of State.

Digital Signing and Technical Considerations

Electronic execution is commonly used for written consents; select a platform that supports audit trails, signer authentication, and secure storage.

  • Authentication: Email, SMS, or stronger
  • Audit Trail: IP, timestamp, events
  • Formats: PDF, DOCX supported

Retain signed copies in a secure, access-controlled repository and ensure the platform you use meets any industry or regulatory requirements.

Timing Considerations and Filing Triggers

Certain actions approved by consent may trigger public filings or operational updates; be aware of the timing obligations that follow.

Effective Date:

Enter as MM/DD/YYYY; determines when action takes effect

Deliver Copies:

Provide signed copies to signers promptly after execution

State Amendment:

File articles amendment when required by state law

Bank Updates:

Update bank and vendor records after approval

Tax Reporting:

Complete any required tax filings triggered by the action

Common Errors to Avoid

  • Failing to confirm signer authority under bylaws or operating agreement, which can render the consent ineffective.
  • Not recording the signed consent in the corporate minute book, creating ambiguities for auditors and banks.
  • Using vague resolution language that fails to specify limits, amounts, or contract identifiers.
  • Relying on partial or missing signatures rather than the complete set required by governing rules.

Consequences of an Incorrect or Incomplete Consent

Invalid Action: May be voidable for lack of proper authority
Personal Liability: Managers or officers risk exposure if action exceeds authority
Contract Risk: Third parties may challenge enforceability
Regulatory Problem: Required filings left undone can trigger penalties
Bank Rejection: Banks may refuse transactions lacking proper documentation
Recordkeeping Gap: Missing minutes complicate audits and due diligence
