Payment Terms

Compensation for work described in this Agreement shall be as set forth below. Unless otherwise agreed in writing, all payments are due in accordance with the invoicing provisions set forth herein.

Invoices shall be submitted in writing and are payable within the payment period specified above. Any undisputed amounts not paid when due will accrue interest at the late payment fee rate stated above until paid in full.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured thirty (30) days after written notice specifying the nature of the breach. Termination shall not relieve either party of obligations accrued prior to termination, including payment for work performed.

Confidentiality

The parties acknowledge that in the course of performance they may receive or develop confidential or proprietary information. Each party shall (a) hold such information in confidence; (b) not disclose it to any third party except as authorized; and (c) use it only for the purposes of performing under this Agreement. Confidential information excludes information that is or becomes publicly available other than through a breach of this Agreement, was already rightfully in the receiving party's possession, or is required to be disclosed by law, provided that the disclosing party is given prompt notice and an opportunity to seek protective measures.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict-of-law principles. Venue for any dispute shall be in the courts located within that jurisdiction unless the parties agree otherwise in writing.

Entire Agreement and Miscellaneous

This Agreement, including the Action Items Schedule and any written amendments executed by the parties, constitutes the entire agreement between the parties relating to its subject matter and supersedes all prior negotiations, representations or agreements, whether written or oral. No amendment will be effective unless in writing and signed by authorized representatives of both parties.

Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that a party may assign this Agreement in connection with a merger, acquisition or sale of all or substantially all of its assets provided the assignee assumes the assigning party's obligations under this Agreement in writing.

If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in full force and effect and the unenforceable provision will be reformed only to the extent necessary to make it enforceable.

The parties represent and warrant that they have the authority to enter into this Agreement and to perform their respective obligations hereunder.
