Either party may terminate this activation engagement for material breach if such breach remains uncured for the notice period specified above. Upon termination, the Business will pay Provider for all work performed to date, including non‑refundable expenses and fees incurred in reliance on the agreed scope.

CONFIDENTIALITY

Each party acknowledges that it may receive confidential, proprietary or trade secret information of the other party ("Confidential Information"). Confidential Information shall be held in strict confidence and shall not be disclosed to any third party without prior written consent except as required by law. The receiving party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Confidential Information does not include information that (a) is or becomes publicly available other than by breach of this agreement, (b) is demonstrably known to the receiving party prior to disclosure, or (c) is independently developed without use of the disclosing party's Confidential Information. Upon termination or upon written request, the receiving party shall return or destroy Confidential Information and certify such return or destruction if requested.

GOVERNING LAW; ENTIRE AGREEMENT

This Activation Form and any disputes arising out of or relating to it shall be governed by the laws of the State of without regard to its conflict of law principles.

This document, together with any attachments or mutually executed statements of work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations and agreements, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.
