BUSINESS ADD-ON AGREEMENT

WHEREAS, Primary Business is engaged in the operation of its business and desires to obtain the specific add-on services, integrations, or products described herein to augment its business operations; and

WHEREAS, Add-On Provider possesses the expertise, personnel, and capability to provide such add-on services and agrees to deliver those services subject to the terms and conditions of this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and promises contained in this Agreement, the parties agree as follows:

Scope of Work

Provider shall supply the add-on services, deliverables, and any associated materials described below. The parties acknowledge that the scope described is binding and any material changes must be made in writing and approved by authorized representatives.

Payment Terms

As consideration for the Services, Primary Business shall pay Provider in accordance with the terms set forth below. All fees are payable in U.S. dollars unless otherwise agreed in writing.

If any undisputed amount is not paid within days after the due date, interest shall accrue at % per month, or the maximum permitted by law, whichever is less. In addition, Provider may assess a one-time administrative late charge of .

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing days' prior written notice to the other party. Either party may terminate immediately for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Confidentiality

Each party acknowledges that during performance it may receive or have access to Confidential Information of the other party. "Confidential Information" means non-public business, technical, financial, or operational information disclosed in any form. Each party shall: (a) use Confidential Information solely for the purposes of performing its obligations under this Agreement; (b) restrict disclosure to those employees, agents, or subcontractors with a need to know who are bound by confidentiality obligations no less protective than those contained herein; and (c) exercise reasonable care to protect the confidentiality of such information. Confidentiality obligations shall survive termination for a period of years.

Representations, Warranties and Insurance

Each party represents and warrants that it has the full corporate power and authority to enter into this Agreement and perform its obligations. Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. Provider shall maintain at its expense commercial general liability insurance and any other insurance reasonably required for the performance of the Services.

Limitation of Liability

Except for liability arising from willful misconduct, gross negligence, or breach of confidentiality, in no event shall either party be liable to the other for incidental, consequential, punitive, or special damages. The aggregate liability of either party for any claim arising out of or relating to this Agreement shall not exceed the total fees paid by Primary Business to Provider under this Agreement during the twelve (12) month period preceding the claim.

Assignment and Subcontracting

Neither party may assign this Agreement or its rights hereunder without the prior written consent of the other party, which consent shall not be unreasonably withheld, except that either party may assign to a successor in interest in connection with a merger, sale of substantially all assets, or change of control. Provider may subcontract portions of the Services provided that Provider remains responsible for the subcontractor's performance.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

Entire Agreement; Amendments

This Agreement, including all exhibits and appendices signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that, to the extent possible, achieves the original intent of the parties.
