What the Business Add On Document Is

The Business Add On Document is a standardized supplemental agreement used to record additional terms, services, or fees appended to an existing commercial contract. It clarifies scope changes, optional services, pricing adjustments, and administrative details without rewriting the primary agreement. Organizations use it to document negotiated add-ons, deliverable amendments, or post-execution service addenda. When completed correctly and signed by authorized parties, it becomes part of the contract record and may affect performance obligations, billing, and retention schedules under applicable law.

Why document add-ons separately

Using a Business Add On Document provides clear written confirmation of additional services, pricing, and timelines, reducing disputes and improving auditability. It preserves the original contract's structure while documenting negotiated changes and helps organizations track obligations, invoicing, and compliance requirements.

Why document add-ons separately

Who commonly completes this document

Typical users include contracting officers, procurement teams, legal counsel, and finance staff who manage amendments and billing.

  • Procurement and contracts teams attach add-ons to master service agreements to record scope or fee changes.
  • Vendors document extra deliverables, change orders, or upsell services without rewriting the original agreement.
  • Counsel and accounting confirm authority, tax treatment, and invoicing requirements before execution.

Smaller businesses and third-party vendors may also use the form to document optional services or post-contract adjustments.

Step-by-step: completing the add-on

Follow these steps to complete and attach a Business Add On Document accurately and maintain enforceable records.

  • 01
Prepare: Gather original contract, amendment details, dates, and supporting exhibits.
  • 02
Draft: Specify added services, fees, term changes, and performance milestones.
  • 03
Review: Have legal and finance review for consistency and risk.
  • 04
Execute: Sign by authorized representatives and date the document.

Essential elements to include

A well-formed Business Add On Document includes defined scope, clear consideration, effective dates, references to the original contract, signature authority, and applicable governing law clauses.

Scope

A precise description of added goods or services, deliverables, quantities, and any exclusions. Include measurable acceptance criteria and link to original contract sections to avoid inconsistent interpretations.

Consideration

Specific monetary amounts, pricing formulas, payment schedule, invoicing instructions, and any tax treatment notes. State whether amounts are one-time, recurring, or conditional on milestones.

Effective Date

The date the add-on takes effect, entered as MM/DD/YYYY. Clarify whether it is retroactive, aligns with original agreement dates, or triggers new performance timelines.

Authority

Statement of signatory authority, printed name, and title for each signer. If applicable, reference corporate resolutions or delegated authority documents to validate signatures.

Governing Law

Identify the state law that governs interpretation and disputes. Selecting governing law affects enforcement, venue, and applicable statutory limits on remedies.

Integration

A clause confirming that the add-on is part of the existing agreement and specifying whether it supersedes or supplements prior terms to prevent conflicting obligations.

Common preparation mistakes

  • Failing to reference the original agreement creates ambiguity about which terms apply and can lead to conflicting obligations and disputes.
  • Using vague consideration language such as 'reasonable fees' can complicate tax reporting and enforcement; state a precise amount or formula.
  • Not verifying signer authority before execution may invalidate the add-on and expose the company to performance and payment disputes.
  • Skipping required notarization or witness steps for recordable documents, such as deeds, risks rejection by recording offices and future title issues.
