BUSINESS ADD-ON FORM

This Business Add-On Form (the Add-On) is made effective as of and supplements the existing agreement between the parties set forth below. The parties agree as follows.

Either party may terminate this Add-On upon written notice to the other party delivered at least days prior to the intended termination date. Termination shall not relieve Client of payment obligations for services performed or products delivered prior to the effective date of termination.

CONFIDENTIALITY

Each party (Recipient) shall keep confidential all non-public, proprietary, or business information disclosed by the other party (Discloser) in connection with this Add-On. Recipient shall not disclose such Confidential Information to any third party except to employees, contractors, or agents who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein. Confidential Information shall not include information that: (a) is or becomes generally available to the public through no fault of Recipient; (b) was rightfully known to Recipient prior to disclosure by Discloser; or (c) is rightfully obtained by Recipient from a third party without restriction.

Upon expiration or termination of this Add-On, Recipient shall return or certify destruction of Discloser’s Confidential Information within thirty (30) days, except as required to be retained under applicable law or for archival accounting purposes.

GOVERNING LAW

This Add-On shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Add-On, together with the Base Agreement and any other written amendments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, proposals, and agreements, whether written or oral. In the event of any conflict between this Add-On and the Base Agreement, the terms of this Add-On shall control solely with respect to the additional services or items described herein.

MISCELLANEOUS PROVISIONS

Amendments to this Add-On must be made in writing and signed by authorized representatives of both parties. Neither party may assign its rights or obligations under this Add-On without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger, acquisition, or sale of substantially all assets.
