Either party may terminate this Addendum for convenience upon days' prior written notice to the other party. Termination for material breach is permitted upon written notice if the breaching party fails to cure the breach within days after receipt of written notice specifying the breach.

Confidentiality

Each party acknowledges that, in the course of performance under this Addendum, it may receive Confidential Information of the other party. "Confidential Information" means non-public business, technical, financial, customer or other information disclosed in writing, orally or by inspection that is identified as confidential or which, by its nature, should reasonably be considered confidential.

Each receiving party shall: (a) hold the disclosing party's Confidential Information in strict confidence and take reasonable measures to protect it; (b) use Confidential Information solely to perform its obligations under this Addendum; and (c) not disclose Confidential Information to third parties except to affiliates, contractors or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those herein. Obligations under this clause shall survive termination or expiration of this Addendum for a period of three (3) years, or longer to the extent required by applicable law.

Representations and Warranties

Each party represents and warrants that it has full corporate power and authority to enter into and perform this Addendum, and that the execution and delivery of this Addendum has been duly authorized by all necessary corporate or organizational action.

Governing Law; Dispute Resolution

This Addendum shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties agree that any dispute arising out of or relating to this Addendum shall be subject to the exclusive jurisdiction of the state and federal courts located in the county of the governing state.

Entire Agreement; Amendment

Except as expressly modified by this Addendum, the Primary Agreement remains unchanged and in full force and effect. This Addendum, together with the Primary Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. Any amendment to this Addendum must be in a written instrument signed by both parties.

Miscellaneous Provisions

If any provision of this Addendum is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect and the parties shall negotiate in good faith a replacement provision to carry out the original intent of the parties. Neither party may assign its rights or delegate its obligations under this Addendum without the prior written consent of the other party, except to a successor in interest to substantially all of the assigning party's business.
