BUSINESS ADDENDUM

WHEREAS, the parties desire to amend certain terms of the Agreement as set forth in this Addendum and to confirm that all other provisions of the Agreement remain in full force and effect except as expressly modified herein.

SCOPE OF ADDENDUM

The parties agree that the Agreement shall be amended as follows. The amendments below describe the specific modifications to the Agreement and the responsibilities of the parties.

PAYMENT TERMS

Unless otherwise amended below, payments due under the Agreement shall be modified as set forth in this section.

If payment is not received within after the due date, the non-paying party shall be in default and the non-defaulting party may exercise its rights under the Agreement and applicable law, including suspension of services and recovery of collection costs.

TERM AND TERMINATION

This Addendum shall commence on and shall remain in effect until , unless earlier terminated in accordance with the Agreement or this Addendum.

Either party may terminate this Addendum for convenience upon prior written notice to the other party. Termination for cause shall be governed by the termination provisions of the Agreement, as modified by the express terms of this Addendum.

CONFIDENTIALITY

The parties acknowledge that Confidential Information (as defined in the Agreement) may be exchanged in connection with this Addendum. Each party shall maintain the confidentiality of such information and shall not disclose it to third parties except as expressly permitted in the Agreement or required by applicable law. The receiving party shall use at least the same degree of care in protecting Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Exceptions to confidentiality obligations include information that is (a) generally available to the public through no fault of the receiving party; (b) already in the receiving party's possession at the time of disclosure; or (c) rightfully disclosed to the receiving party by a third party not subject to confidentiality obligations.

GOVERNING LAW

This Addendum shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising out of this Addendum.

ENTIRE AGREEMENT; AMENDMENT

Except as expressly modified hereby, all terms and conditions of the Agreement remain in full force and effect. This Addendum, together with the Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether oral or written. Any further amendment must be in writing and executed by authorized representatives of both parties.

MISCELLANEOUS

Assignment: Neither party may assign its rights or delegate its obligations under this Addendum without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger, acquisition, or sale of substantially all of its assets.

Severability: If any provision of this Addendum is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and shall be construed to effectuate the intent of the parties to the greatest extent permitted by law.
