BUSINESS ADDENDUM DOCUMENT

RECITALS

WHEREAS, Company Name: and Counterparty Name: (each a "Party" and together the "Parties") entered into a certain agreement entitled: dated (the "Agreement").

WHEREAS, the Parties desire to amend and supplement certain terms of the Agreement as set forth herein, and to memorialize the Parties' mutual understandings and obligations with respect to the subject matter of this Addendum.

NOW, THEREFORE, in consideration of the mutual covenants contained in this Addendum and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

SCOPE OF WORK

The Parties hereby agree that the scope of the Agreement is amended to include the following additional services, deliverables, and obligations. Unless otherwise provided herein, all capitalized terms used but not defined in this Addendum shall have the meanings ascribed to them in the Agreement.

PAYMENT TERMS

In consideration for the additional services and deliverables described in this Addendum, the Parties agree the following payment provisions shall apply:

Any undisputed invoice not paid within days after the invoice date shall incur a late fee of per month on the outstanding balance, or the maximum allowed by applicable law, whichever is less.

TERM AND TERMINATION

This Addendum is effective as of the Effective Date below and shall continue in effect until the End Date below unless earlier terminated in accordance with this Section.

Either Party may terminate this Addendum for material breach if the breaching Party fails to cure such breach within days after receiving written notice specifying the breach; provided that termination shall not relieve either Party of any obligations that accrued prior to the effective date of termination.

CONFIDENTIALITY

Each Party shall maintain as confidential all information disclosed by the other Party in connection with the Agreement and this Addendum that is marked confidential or reasonably should be understood to be confidential ("Confidential Information"), and shall not disclose such Confidential Information except as expressly permitted herein.

Notwithstanding the foregoing, Confidential Information does not include information that: (a) is or becomes generally available to the public through no fault of the receiving Party; (b) was rightfully in the receiving Party's possession prior to disclosure without an obligation of confidentiality; or (c) is rightfully obtained by the receiving Party from a third party without restriction. A Party may disclose Confidential Information to its employees, contractors, advisors or affiliates on a need-to-know basis provided such persons are bound by confidentiality obligations no less protective than those herein.

Exception — compelled disclosure: The receiving Party may disclose Confidential Information to the extent required by applicable law, regulation, or valid order of a court or governmental body, provided that, to the extent permitted, the receiving Party provides the disclosing Party prompt written notice and cooperates in any lawful effort to limit disclosure.

GOVERNING LAW

This Addendum shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes arising under this Addendum.

ENTIRE AGREEMENT; AMENDMENT

This Addendum, together with the Agreement, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings of the Parties, whether written or oral. Except as expressly modified by this Addendum, the Agreement remains unmodified and in full force and effect. Any amendment to this Addendum must be in writing and signed by authorized representatives of both Parties.

MISCELLANEOUS

If any provision of this Addendum is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Headings are for convenience only and shall not affect interpretation. The Parties agree to execute such further documents and take such further actions as reasonably requested to effectuate the purposes of this Addendum.
