Confidential Information shall not be disclosed to third parties and shall be used only for the purpose of performing obligations under this Addendum, except as required by law or court order, provided that the receiving party gives prompt written notice to the disclosing party of such requirement and cooperates to limit disclosure.

Governing Law

This Addendum shall be governed by and construed in accordance with the laws of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located within that state for disputes arising under this Addendum.

Entire Agreement

This Addendum, together with the original agreement referenced above, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.
