The recipient shall hold Confidential Information in confidence, shall not disclose it to third parties except as required to perform the Scope of Work, and shall use it solely for purposes of performing this Agreement.

Confidentiality obligations shall continue for years after termination or expiration of this Agreement, except with respect to trade secrets which shall remain protected for so long as they qualify as trade secret under applicable law.

INSURANCE AND COMPLIANCE

The Business shall maintain insurance coverages reasonably acceptable to the Company, comply with applicable laws, and obtain and maintain all licenses and permits necessary to perform the Scope of Work. Upon request, the Business shall provide certificates of insurance and proof of compliance.

INDEMNIFICATION

The Business shall indemnify, defend and hold harmless the Company, its officers, directors and employees from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from the Business's breach, negligence, willful misconduct, or failure to comply with applicable laws in the performance of this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Agreement, together with any schedules, exhibits, and addenda expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.
