This Business Additional Agreement (the "Agreement") is entered into by and between the parties identified below and supplements and modifies the existing agreement referenced herein. The parties agree as follows.

RECITALS

WHEREAS, Party A and Party B previously entered into one or more agreements concerning certain business services and desire to amend or supplement their obligations as set forth in this Agreement;

WHEREAS, the parties seek to define the additional scope of work, adjust payment terms, and clarify confidentiality and termination procedures for the work described below;

WHEREAS, the parties intend that the provisions of this Agreement operate together with the existing contractual relationship and that, where inconsistent, the terms of this Agreement shall govern to the extent of such inconsistency.

SCOPE OF WORK

The additional services, deliverables, and responsibilities to be provided under this Agreement are described below. All work shall be performed in a professional manner consistent with prevailing industry standards.

PAYMENT TERMS

Total Additional Compensation:

Late Payment: If any undisputed amount due under this Agreement is not paid within days after the due date, interest shall accrue at the rate of on the outstanding balance, and the non-paying party shall be responsible for reasonable collection costs and attorneys' fees incurred in enforcing payment.

TERM AND TERMINATION

Term Commencement: This Agreement shall commence on and shall continue in effect until unless earlier terminated in accordance with this section.

Termination for Convenience: Either party may terminate this Agreement for any reason upon providing written notice to the other party at least days prior to the effective date of termination.

Termination for Cause: Either party may terminate this Agreement immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days of receiving written notice specifying the breach.

CONFIDENTIALITY

Each party acknowledges that in the course of performing this Agreement it may receive confidential and proprietary information of the other party ("Confidential Information"). Confidential Information shall be held in strict confidence and shall not be disclosed to any third party except as necessary to perform obligations under this Agreement or as required by law. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, or that is rightfully known to the receiving party prior to disclosure.

The obligations of confidentiality shall survive termination or expiration of this Agreement for a period of years.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties agree that any dispute arising out of or relating to this Agreement shall be resolved in the state or federal courts located in that state.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with any documents expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties to be effective.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the contact information below. Notices shall be deemed given when delivered personally, sent by nationally recognized overnight courier, or three (3) days after deposit in the U.S. mail, postage prepaid.

MISCELLANEOUS

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Waiver of any breach shall not constitute waiver of any subsequent breach.
