NOTICES

All notices, demands, or other communications required or permitted under this Agreement shall be in writing and delivered to the applicable party at the address designated above. Notice is effective upon receipt when delivered personally, by nationally recognized overnight courier, or by certified mail with return receipt.

PAYMENT TERMS

Where fees are payable in connection with services or transfers associated with addresses (including registered agent or filing fees), the parties agree to the following payment provisions.

TERM AND TERMINATION

This Agreement commences on Start Date: and will continue in effect until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience by providing written notice at least Notice Period (days): days prior to the effective termination date. Termination for cause may be effected immediately upon written notice if the other party materially breaches any provision and fails to cure within thirty (30) days after receipt of written notice of such breach.

CONFIDENTIALITY

Each party shall keep confidential all non-public information disclosed by the other party in connection with this Agreement, including unpublished contact details, proprietary location data, and any sensitive operational addresses. Confidential information shall not include information that is or becomes publicly available other than by breach of this Agreement, or that is required to be disclosed by law provided the disclosing party gives prompt notice to the other party to permit a protective order or other remedy.

The receiving party shall use no less than reasonable care to protect confidential information and shall only disclose such information to employees, contractors or advisers with a need to know and who are bound by confidentiality obligations at least as protective as those herein.

CHANGES TO ADDRESSES; UPDATING INFORMATION

Each party shall notify the other in writing of any change to an address or contact listed herein within Change Notification Period (days): days of such change. Absent timely written notice, communications sent to the last recorded address will be deemed effective upon delivery or attempted delivery.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of: without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for resolution of any disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including the addresses and contact points set forth herein, constitutes the entire understanding between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. Any amendment or modification must be in writing and executed by authorized representatives of both parties.
