Recitals

WHEREAS, Service Provider is engaged in the business of application development, software integration, and related advisory services and has represented that it possesses the skill, personnel, and resources necessary to perform the services described below; and

WHEREAS, Client desires to retain Service Provider to perform development, enhancement, testing and deployment services for Client's business application environment (the "Services") on the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows.

1. Scope of Work

Service Provider shall perform the Services described below. The Services shall include technical design, development, testing, documentation, deployment, and post-deployment support as specified in the project description and statement of work.

2. Payment Terms

Client shall pay Service Provider the fees and expenses in accordance with this Section. Fees are exclusive of applicable taxes, which shall be the responsibility of Client.

Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law computed daily from the date due until paid. Client is responsible for all collection costs and reasonable attorneys' fees for overdue amounts.

3. Term and Termination

This Agreement shall commence on the Effective Date and shall continue in full force until the Completion Date unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified below after receipt of written notice describing the breach.

Upon termination for any reason, Client shall pay Service Provider for all Services performed and expenses incurred through the effective date of termination, subject to any offsets expressly provided in this Agreement.

4. Confidentiality

Each party (the "Receiving Party") shall hold in strict confidence all non-public, confidential or proprietary information disclosed by the other party (the "Disclosing Party") and shall not use such information except to perform its obligations under this Agreement. Confidential information includes business plans, trade secrets, technical designs, source code, and any material marked or reasonably understood to be confidential.

The Receiving Party's obligations do not extend to information that (a) was known to the Receiving Party prior to disclosure; (b) becomes publicly known through no fault of the Receiving Party; (c) is lawfully obtained from a third party without breach of an obligation of confidentiality; or (d) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

Upon termination or written request, the Receiving Party shall return or destroy all confidential materials and provide written certification of such return or destruction, except to the extent retention is required by law or for limited archival backup purposes.

5. Intellectual Property

Unless otherwise agreed in writing, Service Provider shall retain ownership of pre-existing tools, libraries, and methodologies. To the extent Service Provider creates bespoke deliverables specifically for Client under this Agreement, copyright and other intellectual property rights in such bespoke deliverables shall be assigned to Client upon full payment, except for Service Provider's retained rights and any third-party components subject to separate license terms.

6. Warranties; Liability

Service Provider warrants that the Services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, ARE DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY UNDER THIS AGREEMENT EXCEED THE TOTAL AMOUNTS PAID BY CLIENT TO SERVICE PROVIDER DURING THE SIX (6) MONTHS PRECEDING THE CLAIM. NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of: , without regard to its conflict of laws principles.

8. Entire Agreement; Amendments

This Agreement, together with any exhibits or mutually executed statements of work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.

9. Assignment; Subcontracting

Neither party may assign this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliate or in connection with a merger or sale of substantially all of its assets. Service Provider may engage subcontractors, provided that Service Provider remains responsible for the performance of its subcontractors.

10. Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the contact information provided by each party. Notices shall be effective upon delivery by hand, confirmed electronic transmission, or three (3) days after deposit with a nationally recognized overnight courier.

11. Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The headings in this Agreement are for convenience only and shall not affect interpretation. This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.
