What a Business Adjustment Agreement Is and When It Applies

A Business Adjustment Agreement is a legally binding contract used to modify existing terms between business parties, such as changes to ownership percentages, capital contributions, payment schedules, management responsibilities, or operational milestones. It records agreed adjustments to a primary agreement (operating agreement, loan agreement, or service contract), defines effective dates and consideration, and identifies who must perform which obligations. Properly drafted and executed, it prevents disputes by documenting consent, scope, and any transitional provisions; some jurisdictions or transaction types may require notarization or witnesses for added enforceability.

Why a Clear Adjustment Agreement Matters

A concise Business Adjustment Agreement reduces ambiguity about altered obligations, preserves corporate governance records, and creates an evidentiary trail for lenders, tax authorities, and future disputes while aligning parties on timing and remedies.

Why a Clear Adjustment Agreement Matters

Who Typically Prepares and Signs These Agreements

Common users include business owners, managing members, CFOs, outside counsel, and lenders who must document formal changes to operating or financing terms.

  • Owners and members updating capital or ownership terms
  • Finance and accounting teams documenting payment or loan adjustments
  • Outside counsel or corporate secretaries preparing formal amendments

Parties should ensure authorized signatories execute the agreement and maintain a signed copy in corporate records and accounting files.

Representative Signers and Their Roles

Managing Member

Typically signs when the adjustment affects an LLC's ownership, capital contributions, or management rights. Must follow internal approval thresholds in the operating agreement and provide any required resolving minutes or consent.

Chief Financial Officer

Signs or certifies adjustments to payment schedules, loan terms, or financial covenants. Responsible for ensuring accounting entries, tax reporting, and disclosure to auditors are updated to reflect the change.

Core Sections to Include in a Professional Adjustment Agreement
