WHEREAS, the parties intend that this Agreement set forth the entire agreement between the parties concerning the advance and repayment obligations.

SCOPE OF WORK

Recipient shall use the advance proceeds solely for the business purposes described below. Recipient shall provide reasonable documentation of use upon Advance Provider's request.

PAYMENT TERMS

Advance Provider shall advance to Recipient the principal sum set forth below (the "Advance"). Recipient shall repay the Advance in accordance with the schedule and amounts stated below. Repayment obligations are unconditional and not contingent upon Recipient's revenues unless otherwise expressly set forth herein.

All payments shall be applied first to fees and charges and then to outstanding principal. If any scheduled payment is not received when due, Recipient will be in default and Advance Provider may exercise remedies set forth in this Agreement.

TERM AND TERMINATION

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure within the notice period specified above. Termination shall not relieve Recipient of obligations to repay amounts accrued prior to termination.

CONFIDENTIALITY

Each party (the "Receiving Party") shall keep confidential and shall not disclose to any third party any confidential or proprietary information of the other party (the "Disclosing Party") disclosed in connection with this Agreement, except to the extent required by law or to enforce this Agreement. Confidential information includes business plans, financial data, customer lists, pricing, trade secrets and any non-public information marked or reasonably understood to be confidential.

The obligations of confidentiality shall survive termination or expiration of this Agreement for a period of three (3) years, or longer if required by applicable law with respect to trade secrets.

REPRESENTATIONS, WARRANTIES, DEFAULT AND REMEDIES

Each party represents and warrants that it has the authority to enter into this Agreement and that performance will not violate any agreement, law, or order. Recipient represents that the proceeds will be used as stated in the Scope of Work.

Upon an event of default, including failure to pay when due or material breach of this Agreement, Advance Provider may declare all unpaid amounts immediately due and payable and pursue any remedies available at law or in equity. Remedies available to Advance Provider are cumulative and may be exercised singularly or concurrently.

ASSIGNMENT AND AMENDMENT

Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Advance Provider may assign its rights to an affiliate or in connection with a financing without Recipient's consent. Any amendment to this Agreement must be in writing and signed by both parties.

The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for purposes of any action arising out of this Agreement.

What a Business Advance Agreement Is and When it's Used

A Business Advance Agreement documents a short-term cash advance or loan provided to a business in exchange for repayment terms, fees, and any applicable security. It establishes the parties, principal amount, repayment schedule, interest or fee structure, events of default, and remedies. Typical uses include working capital advances, merchant cash advances, short-term bridge financing, and interim vendor funding. The agreement creates enforceable rights and responsibilities when properly executed, delivered, and retained under applicable electronic signature and contract rules.

Why a Clear Business Advance Agreement Matters

A well-drafted agreement reduces dispute risk by specifying payment timing, calculation of fees, and default remedies. It also documents consent to electronic execution and how records will be retained for regulatory compliance.

Why a Clear Business Advance Agreement Matters

Who Commonly Prepares and Signs a Business Advance Agreement

The agreement is used by lenders, merchants, investors, and in-house legal or finance teams who need an enforceable short-term financing contract.

  • Small-business owners and operators who need short-term working capital and must document repayment and fee terms.
  • Alternative lenders and merchant cash advance providers that require clear advance amounts, holdback schedules, and default remedies.
  • Legal counsel and finance teams who draft, review, and ensure enforceability under state contract and electronic signature laws.

Tailor language and execution methods to each party’s role — funder, borrower, guarantor, or secured creditor — and to applicable state rules.

Core Elements to Include in a Professional Business Advance Agreement

Include concise, unambiguous clauses that define money exchanged, timing, fee calculations, security interests, and remedies. Clear labels and exhibits reduce litigation risk and make digital completion easier.

Parties

Full legal names and entity types for lender, borrower, and any guarantors; include state of formation and business addresses to ensure enforceability.

Advance Amount

Specify principal in dollars, currency, and whether additional draws are permitted; avoid ambiguous phrasing like 'up to' without a cap.

Repayment Terms

Define repayment schedule, periodic amounts or percentage remittance, payment method, and application of payments to principal/fees.

Fees and Interest

State APR or fixed fees, calculation method, compounding rules, late charges, and any prepayment treatment; be explicit about fee labeling.

Security & Collateral

Describe collateral, security interest perfection steps, UCC filing responsibilities, and allocation of proceeds on default.

Default & Remedies

List events of default, cure periods, acceleration rights, collection costs allocation, and whether attorneys’ fees apply.

Step-by-Step: How to Complete a Business Advance Agreement

Follow these sequential steps to prepare, execute, and store the agreement to ensure enforceability and compliance.

  • 01
Draft: Assemble terms, exhibits, and required identifiers for parties and collateral.
  • 02
Review: Legal and finance teams confirm fees, governing law, and perfection steps.
  • 03
Execute: All parties sign using agreed method (wet, RON, or e-signature) and date the document.
  • 04
Record: File UCC-1 or other notices promptly and retain executed copies per retention rules.

Where to Send, File, and Deliver the Completed Agreement

Routing depends on the parties and whether collateral perfection or governmental filing is required. Typical destinations are lender records, borrower records, and UCC filing offices.

  • Lender Records: Store an executed original in the lender’s secured document repository for collections and audits.
  • Borrower Copy: Provide a fully executed copy to the borrower immediately after signing for their accounting and compliance records.
  • UCC Filing: If secured by personal property, prepare and submit a UCC-1 financing statement in the appropriate state.
  • Notary/Recorder: If the agreement or collateral instrument requires notarization, send to a notary or use RON where permitted.

How to Configure an Online Completion Workflow

Set up a repeatable template, required fields, signer order, and authentication to minimize errors and speed execution.

Field Configuration
Template Create a reusable template with locked clauses and editable variables for each deal.
Conditional Fields Show collateral or guaranty sections only when applicable to reduce signer confusion.
Signer Authentication Require email, SMS code, or higher assurance for lender or guarantor signers.
Notifications Enable automated reminders and delivery of the executed PDF to parties.

Digital Signing and Technical Requirements

Use an eSignature platform that supports secure authentication, tamper-evident PDFs, and audit trails for enforceability.

  • File Formats: PDF, Word DOCX accepted; final executed copy should be PDF/A for long-term retention.
  • Integrations: Connectors for Salesforce, NetSuite, Google Workspace, and Box streamline data flow.
  • Authentication: Support for email, SMS, delegated access, and higher-assurance sign-in methods.

Key Timing Considerations and Typical Deadlines

Track execution date, funding date, perfection timing, and retention triggers to meet legal and operational requirements.

Execution Date:

Date the agreement when all required signatures are completed; governs effective obligations.

Funding Date:

Fund the advance only after all required signatures and conditions precedent are satisfied.

UCC Filing Window:

File a UCC-1 promptly after execution to protect priority in collateral.

W-9 on Request:

Provide a completed W-9 to payers upon request to avoid backup withholding issues.

Amendments:

Document any changes as written amendments signed by all original parties.

Security and Compliance Controls to Protect the Agreement

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
Audit Trail: Timestamped logs, IP and action history
Certifications: SOC 2 Type II and ISO 27001
HIPAA: HIPAA-compliant with BAA required
21 CFR Part 11: Controls for FDA-regulated records
Access Controls: SSO, role-based permissions available

Key Penalties and Legal Risks to Avoid

Breach Damages: Monetary liability and injunctive relief possible
Tax Penalties: IRC §6721 penalties for incorrect information returns
Perfection Failure: Unperfected lien may lose priority
Notarization Errors: Invalid acknowledgements can impair enforcement
Recordkeeping Violations: Regulatory fines for inadequate retention
Consumer Disclosures: Missing disclosures can void consent rights

Common Preparation and Execution Mistakes to Avoid

  • Ambiguous repayment language where percentages, timing, or application order of payments are unclear, leading to disputes over balances.
  • Using different legal names across documents (entity name vs DBA) that hinder UCC searches, bank matches, or enforcement actions.
  • Failing to perfect a security interest promptly by filing the correct UCC-1 form in the proper jurisdiction, risking loss of collateral priority.
  • Relying on informal signatures or initials when the agreement requires full executed signatures or notarization, creating proof-of-signature issues.
