What a Business Advance Contract Is and When It Applies

A Business Advance Contract is a written agreement documenting an advance of funds from a lender, financier, or affiliate to a business borrower in exchange for repayment terms, fees, and any agreed security or collection rights. The contract sets the principal amount, repayment schedule or revenue-share mechanics, interest or factor rate, events of default, representations and warranties, and remedies. It can be structured as a short-term cash advance, merchant cash advance, or intercompany loan. Properly drafted contracts allocate risk, identify collateral or security interests, and clarify governing law and dispute resolution.

Why a Clear Business Advance Contract Matters

A clear, signed agreement reduces ambiguity about repayment, protects lender collateral rights, and documents borrower obligations for regulatory and tax purposes. It also creates an evidentiary record to support collections, UCC filings, or dispute resolution.
