What a Business Advisory Notice Is and when it’s used

The Business Advisory Notice is a formal corporate communication that informs targeted recipients about material business developments that may affect contractual rights, compliance obligations, or financial relationships. Typical topics include policy changes, regulatory concerns, restructuring, potential breaches, or events that require a response or acknowledgement. Notices summarize facts, explain impacts, identify required actions or timelines, and reference supporting documents. They are intended to create a clear audit record and to trigger internal review and, when appropriate, legal or regulatory follow-up.

Who prepares and receives these notices

Typical parties who prepare, review, or receive a Business Advisory Notice include internal teams and external counterparties across regulated and commercial settings.

  • Legal, compliance, and contracts teams that draft and confirm legal accuracy and obligations.
  • Senior executives and board members who authorize disclosures affecting strategy or material obligations.
  • Clients, vendors, lenders, and regulators who receive notice and may be required to respond.

Maintaining a clear recipient list and approval log improves defensibility and supports any subsequent audits or disputes.

Essential components of a professional Business Advisory Notice

A well-constructed notice is concise, factual, and organized so recipients can quickly understand the issue, its impact, and any required action or deadline.

Heading

Clear title and reference number to link the notice to contracts, prior communications, and any internal matter tracking. Include a concise subject line that summarizes the core issue.

Parties

Identify sender and intended recipients by full legal name, role, and contact information so the record ties to the correct corporate entities and individuals.

Statement of Facts

Present the factual background in chronological order with supporting exhibits or references. Avoid speculation; state verifiable dates, amounts, or events.

Impact and Remedies

Describe how the event affects obligations, performance, or risk, and state any remedy sought or corrective action required from the recipient.

Deadline and Response

Specify any response or cure period in calendar days and define how a response should be delivered. Use unambiguous date formats to avoid disputes.

Attachments

List and attach relevant exhibits, contracts, and evidence. Number exhibits and reference them directly within the notice for clarity.

Step-by-step: preparing and issuing a Business Advisory Notice

Follow a structured review and delivery sequence so the notice is accurate, authorized, and documented for compliance and potential dispute resolution.

  • 03
Delivery: Send via the contract-specified method and capture proof of delivery.
  • 04
Recordkeeping: Store the notice, delivery evidence, and any responses in the official file.
