BUSINESS ADVISORY AGREEMENT

WHEREAS, Client desires to retain Advisor to provide business advisory, strategic planning, financial modeling, operational recommendations, and related advisory services as set forth in this Agreement; and

WHEREAS, Advisor has the experience, expertise, and resources necessary to perform such advisory services and is willing to provide those services to Client on the terms and conditions set forth in this Agreement.

Scope of Work

Advisor will provide advisory services including strategic review, market analysis, business plan development, financial modeling, and implementation guidance. Specific deliverables and milestones will be described below and may be updated by written amendment signed by both parties.

Payment Terms

Client shall pay Advisor for services performed under this Agreement in accordance with the following fee structure.

Late payments will incur interest at the rate of per month on any unpaid balance, compounded monthly, until paid in full. Advisor shall be entitled to suspend services for unpaid invoices thirty (30) days past due.

Reimbursable expenses incurred by Advisor in the performance of services are Allowed Not allowed

Term and Termination

This Agreement commences on and continues until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach by the other party that is not cured within fifteen (15) days of written notice of such breach, or for insolvency or bankruptcy of the other party.

Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other, whether disclosed orally, visually, or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party shall (i) hold Confidential Information of the other in strict confidence, (ii) not disclose Confidential Information to any third party except as permitted herein, and (iii) use Confidential Information solely to perform its obligations under this Agreement.

The obligations in this Section do not apply to information that (a) is or becomes publicly known through no breach by the receiving party, (b) is independently developed by the receiving party without reference to Confidential Information, (c) is received from a third party without breach of any obligation of confidentiality, or (d) is required to be disclosed by law or court order, provided the disclosing party is given prompt notice and opportunity to seek protective treatment.

Relationship of the Parties; Liability

Advisor is an independent contractor and nothing in this Agreement shall be construed to create an employment, partnership, joint venture, or agency relationship between the parties. Advisor shall control the manner and means of performing the services, subject to the terms of this Agreement.

Except for willful misconduct or gross negligence, Advisor's liability for any claim arising out of or related to this Agreement shall be limited to direct damages not to exceed the total fees paid by Client to Advisor under this Agreement during the six (6) month period preceding the event giving rise to the claim. Neither party shall be liable for consequential, incidental, special, punitive, or exemplary damages.

Indemnification

Each party shall indemnify, defend, and hold harmless the other party from and against any third-party claims arising from the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement. The indemnified party shall notify the indemnifying party promptly of any claim and permit the indemnifying party to control the defense and settlement, provided that the indemnifying party may not settle any claim that imposes obligations or admits fault without the indemnified party's consent, which shall not be unreasonably withheld.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

Entire Agreement and Amendments

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and understandings, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

Notice

Any notice required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or such other address as each party designates in writing, and shall be effective upon personal delivery, overnight courier, or three (3) business days after deposit in the mail, postage prepaid.

Acknowledgments

Each party represents and warrants that it has the full power and authority to enter into and perform its obligations under this Agreement, and that the person signing below is authorized to bind that party.
