Confidentiality

The receiving party shall use Confidential Information solely to perform its obligations under this AFE and shall not disclose Confidential Information to any third party except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein. Upon expiration or termination of this AFE, the receiving party shall return or destroy Confidential Information, except as required to retain one archival copy for compliance purposes.

Liability and Indemnity (Summary)

Each party's liability to the other for claims arising from this AFE shall be limited to direct damages and shall exclude consequential, incidental and punitive damages to the fullest extent permitted by law.
