BUSINESS AFFILIATE AGREEMENT

Parties

Recitals

WHEREAS, Company and Affiliate desire to enter into this Agreement to set forth the terms under which Affiliate will promote and refer potential customers to Company in exchange for compensation as set forth herein; and

WHEREAS, Company represents that it provides the products and services described in the Scope of Work and possesses the authority and capacity to engage third-party affiliates for marketing and referrals; and

WHEREAS, the parties desire that this Agreement become effective on Effective Date: and continue pursuant to the Term and Termination provisions below.

Scope of Work

Affiliate shall, in a commercially reasonable manner and consistent with applicable law and industry standards, market Company’s products and services, identify and refer prospective customers to Company, and perform related activities as reasonably requested by Company. Affiliate shall not make material representations concerning Company’s products or services beyond those expressly authorized in writing by Company.

Payment Terms

Company shall pay Affiliate compensation as described below in consideration for verifiable referrals that result in qualifying transactions. All payments are subject to the conditions and withholding required by law.

Late payments shall accrue interest at the lesser of one percent (1%) per month or the maximum rate permitted by law. If Company disputes any portion of an invoice in good faith, Company shall notify Affiliate promptly and the undisputed portion shall be paid in accordance with this Agreement.

Term and Termination

This Agreement shall commence on Start Date: and continue until End Date: unless earlier terminated as set forth below.

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to the effective date of termination. Either party may immediately terminate for material breach that remains uncured for thirty (30) days after written notice of such breach. Termination shall not relieve either party of obligations accrued prior to termination, including payment obligations.

Confidentiality

Each party (the "Receiving Party") shall hold in confidence and not disclose or use any Confidential Information of the other party (the "Disclosing Party") except as required to perform under this Agreement. "Confidential Information" includes non-public business, technical, customer and pricing information disclosed orally, in writing, or by inspection and designated as confidential or that a reasonable person would understand to be confidential. Confidentiality obligations shall survive termination of this Agreement for a period of three (3) years, except with respect to trade secrets, which shall be protected to the fullest extent permitted by law.

Indemnification & Compliance

Affiliate shall indemnify, defend and hold harmless Company and its officers, directors and agents from and against any third-party claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of Affiliate's breach of this Agreement, negligent acts, willful misconduct, or violation of applicable law. Affiliate shall comply with all laws and regulations applicable to its marketing and referral activities and shall not engage in deceptive, fraudulent, or unlawful marketing practices.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for all disputes arising under this Agreement.

Entire Agreement; Amendment

This Agreement, including exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous

The parties are independent contractors. Nothing in this Agreement shall create an employment, partnership or joint venture relationship between the parties. Neither party may assign this Agreement without the prior written consent of the other, except that Company may assign this Agreement in connection with a merger, sale of substantially all assets, or transfer to an affiliate.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by written notice. Notice shall be deemed given when delivered personally, sent by nationally recognized overnight courier, or three (3) business days after deposit in the U.S. mail, postage prepaid, return receipt requested.
