This Business Affirmation Form (the Agreement) is entered into by the parties identified below as of the Effective Date. The parties affirm that the statements and commitments set forth in this form are true, accurate and binding upon the signing parties.

Late payment shall accrue interest at on overdue balances, calculated monthly, plus reasonable collection costs. In addition, payments past due for more than days permit Recipient to suspend services pending cure.

5. Term and Termination

This Agreement commences on Start Date: and expires on End Date: unless earlier terminated under the terms below.

Either party may terminate this Agreement for convenience with prior written notice to the other party delivered at least days prior to the intended termination date. Either party may terminate for cause upon written notice if the other party fails to cure a material breach within days following written notice of such breach.

6. Confidentiality

For purposes of this Agreement, "Confidential Information" means non-public, proprietary or business-sensitive information disclosed by one party to the other, whether oral, written or electronic. Recipient shall (i) use Confidential Information solely to perform obligations under this Agreement; (ii) restrict disclosure to employees and contractors who have a need to know and who are bound by confidentiality obligations no less protective than those herein; and (iii) exercise the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

Confidential Information does not include information that is: (a) publicly available other than by breach of this Agreement; (b) rightfully obtained from a third party without confidentiality obligations; or (c) independently developed without use of Confidential Information. The obligations of confidentiality survive termination for a period of years.

7. Representations and Affirmations

By signing below, Affirmant represents and warrants that the information provided in this form is true and correct, that Affirmant has full corporate or organizational authority to enter into and perform under this Agreement, and that acceptance of the Agreement will not violate any other agreement by which Affirmant is bound.

8. Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties will attempt in good faith to resolve disputes by negotiation; if unresolved, disputes shall be resolved in the state or federal courts located in the selected state.

9. Entire Agreement; Amendments

This Agreement, including any attachments and written schedules, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior proposals, negotiations and agreements. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

10. Miscellaneous Provisions

If any provision of this Agreement is held unenforceable, the remainder will remain enforceable. Failure to enforce a provision will not constitute a waiver of that provision or the right to enforce it later. Notices required under this Agreement shall be in writing and delivered to the primary contact identified above.

11. Acknowledgment

Affirmant acknowledges that the statements made herein are made knowingly, intentionally and with the intent to be legally bound. Affirmant further acknowledges that false statements may give rise to remedies at law or equity.
