BUSINESS AGENCY AGREEMENT

Parties

This Business Agency Agreement (the Agreement) is entered into effective as of (Effective Date), by and between the Principal and the Agent identified above.

Recitals

WHEREAS, Principal is engaged in the business of providing goods and/or services described in this Agreement and desires to appoint an agent to promote, solicit, or manage certain business activities on Principal's behalf;

WHEREAS, Agent represents that it has the experience, personnel, and facilities necessary to perform the services specified herein and is willing to accept appointment on the terms and conditions set forth in this Agreement;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

Scope of Work

Authority and Limitations

1. Appointment. Principal appoints Agent, and Agent accepts appointment, to act on Principal's behalf solely for the purposes and within the territory described in the Scope of Work. Agent's authority is limited to activities expressly authorized in this Agreement.

Payment Terms

Principal shall pay Agent the compensation set forth below in consideration for Agent's performance of services under this Agreement.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated pursuant to this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate immediately for material breach that remains uncured for thirty (30) days following written notice of such breach.

Confidentiality

1. Definition. "Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

2. Obligations. Each party shall (a) hold Confidential Information in strict confidence, (b) not disclose it to any third party except to representatives with a need to know under confidentiality obligations, and (c) use it only to perform obligations under this Agreement.

3. Exceptions. Confidential Information does not include information that: (a) is or becomes generally available to the public without breach; (b) is rightfully received from a third party without restriction; or (c) is independently developed without use of Confidential Information. A party may disclose Confidential Information to the extent required by law or court order, provided it gives prompt notice to the other party to seek protective measures.

Indemnification, Liability and Insurance

Each party shall indemnify, defend and hold harmless the other party from any third-party claims, liabilities, losses, damages, and expenses arising out of the indemnifying party's breach of this Agreement, negligence, or willful misconduct. Neither party shall be liable to the other for consequential, incidental, special, or punitive damages, except for liabilities arising from gross negligence, willful misconduct, or breach of confidentiality.

Each party shall maintain insurance coverage adequate to cover its obligations under this Agreement and provide proof upon reasonable request.

Representations and Warranties

Each party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations; that entering into this Agreement does not violate any other agreement; and that it will comply with applicable laws in performing under this Agreement.

Notices

All notices under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by notice in accordance with this provision. Notices are effective upon receipt.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles. This Agreement, together with any exhibits or schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. No amendment or modification shall be effective unless in writing and signed by both parties.

Miscellaneous

1. Independent Contractor. Agent is an independent contractor and nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship beyond the limited authority granted herein.

2. Assignment. Neither party may assign this Agreement or any rights hereunder without the prior written consent of the other party, except that Principal may assign to an affiliate or successor in interest.

3. Remedies. The parties acknowledge that monetary damages may be inadequate for breach of certain obligations, including confidentiality, and that the non-breaching party shall be entitled to injunctive relief in addition to other remedies.
