BUSINESS AGENCY DISCLOSURE FORM

Parties

Recitals

WHEREAS, Principal: desires to engage the services of Agent to perform business development, representation, or transactional services as described in this Agreement; and

WHEREAS, Agent: represents that it is qualified and willing to act as an agent in accordance with the terms set forth below; and

NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the parties agree as follows.

Scope of Agency / Scope of Work

The Agent shall perform the services described below. The Agent's authority is limited to the matters expressly set forth in this section and any written extensions agreed by the parties.

Nature of Agency Relationship

Select the relationship that describes the Agent's authority and role in dealings with third parties. If Dual Agent is selected, Agent must obtain Principal's written consent below.





Duties, Authority and Limitations

Agent agrees to act in good faith and in the best interests of Principal in performing the assigned duties. Agent shall (a) act within the authority expressly granted by Principal; (b) disclose material facts known to Agent relevant to transactions governed by this Agreement; (c) keep and deliver accurate records of actions taken on behalf of Principal; and (d) avoid undisclosed conflicts of interest. Agent shall not bind Principal to obligations beyond the scope described in this Agreement without prior written authorization.

Payment Terms

Principal shall pay Agent compensation as follows. Amounts are exclusive of taxes unless otherwise required by law. Agent is responsible for its own taxes and benefits unless otherwise agreed in writing.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered not less than days prior to the effective date of termination. Either party may terminate immediately for material breach if the breaching party fails to cure such breach within a commercially reasonable time after written notice.

Confidentiality

"Confidential Information" means any non-public information disclosed by one party to the other in connection with this Agreement, including business plans, pricing, customer lists, technical data, financial information, and proprietary processes. The receiving party shall: (a) maintain Confidential Information in strict confidence; (b) use Confidential Information solely to perform obligations under this Agreement; and (c) limit disclosure to those employees, agents, or subcontractors who have a need to know and who are bound by confidentiality obligations no less protective than those herein. Confidential Information does not include information that: (i) is or becomes publicly known through no breach hereof; (ii) is rightfully received from a third party without restriction; or (iii) is independently developed without reference to Confidential Information. The obligations of confidentiality survive termination for a period of three (3) years, or longer where required by applicable law.

Records and Reporting

Agent shall maintain complete and accurate records of transactions, leads, expenses, commissions, and other activity performed under this Agreement and shall provide such records to Principal upon reasonable request. Records shall be retained for a period of three (3) years following termination unless otherwise required by law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law principles that would apply the laws of another jurisdiction.

Entire Agreement

This Agreement, including any attachments and written amendments executed by both parties, constitutes the entire agreement between Principal and Agent with respect to the subject matter hereof and supersedes all prior proposals, negotiations, understandings, and agreements, whether written or oral. No modification of this Agreement shall be effective unless in writing and signed by both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by written notice. Notices shall be deemed given upon receipt.

Acknowledgment and Certification

By signing below, each party certifies that: (a) the party has full authority to enter into this Agreement; (b) the party has read and understands the terms of this Agreement; and (c) the party has received a copy of this signed Business Agency Disclosure Form.
