Business Agency Agreement

This Business Agency Agreement (the Agreement) is made and entered into as of Effective Date: by and between Client Name: (hereinafter "Principal") and Agent Name: (hereinafter "Agent").

PARTIES

RECITALS

WHEREAS, Principal is engaged in the business of offering, marketing, and selling products and services described in this Agreement and desires to retain a commercial agent to solicit orders and perform related activities on Principal's behalf; and

WHEREAS, Agent represents that it has the skill, knowledge, personnel and capability to act as Principal's agent for the purposes set forth in this Agreement and is willing to accept such appointment on the terms and conditions contained herein; and

WHEREAS, the parties desire to set forth their respective rights and obligations in writing to avoid ambiguity and to provide for the orderly performance of agency services.

SCOPE OF WORK

Agent shall perform agency services on behalf of Principal as described below. Agent shall use commercially reasonable efforts to promote, solicit, negotiate and, where authorized, conclude contracts for Principal's products and services in the Territory defined below, and shall comply with Principal's written policies and directions that are consistent with this Agreement.

PAYMENT TERMS

Principal shall compensate Agent in accordance with the fee schedule set forth below. All amounts are payable in lawful currency and are exclusive of taxes unless otherwise stated. Agent shall be responsible for its own employment taxes and withholding.

All commissions shall be calculated on amounts actually received by Principal. No commission shall be payable on uncollectible receivables. If Principal terminates this Agreement without cause, commissions on contracts concluded prior to termination shall be payable in accordance with the schedule agreed herein.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with the provisions below.

Either party may terminate this Agreement for cause upon written notice if the other party materially breaches any provision of this Agreement and fails to cure the breach within thirty (30) days after receipt of written notice specifying the breach. Termination shall not relieve either party of obligations accrued prior to termination nor payments due for services rendered.

CONFIDENTIALITY

Agent acknowledges that in performing services under this Agreement it will have access to trade secrets and other confidential information of Principal, including but not limited to customer lists, pricing, marketing plans, technical information and business strategies ("Confidential Information"). Agent shall hold all Confidential Information in strict confidence, shall not disclose such information to any third party without Principal's prior written consent, and shall use such information solely to perform obligations under this Agreement. The obligations of confidentiality shall survive termination of this Agreement for a period of five (5) years. Confidential Information does not include information that is or becomes generally available to the public other than by a breach of this Agreement, that is rightfully received from a third party without restriction, or that is independently developed without use of Confidential Information.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from and against any and all liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's negligence, willful misconduct, breach of this Agreement, or violation of applicable law in connection with the performance of this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of: without regard to its choice of law principles. The parties submit to the exclusive jurisdiction of the courts located in that State for any dispute arising under this Agreement.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including all schedules and exhibits hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification of this Agreement must be in writing and signed by duly authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Neither party shall assign this Agreement or any rights hereunder without the prior written consent of the other party, except that Principal may assign to an affiliate or in connection with a merger or sale of substantially all of its assets. The parties are independent contractors and nothing in this Agreement shall be construed to create a partnership, joint venture, employment relationship or agency relationship other than as expressly set forth herein. If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
