BUSINESS AGENCY AGREEMENT

Recitals

WHEREAS, Principal is engaged in the business of providing goods and/or services described as: ; and

WHEREAS, Principal desires to appoint Agent to act on Principal's behalf to solicit, promote, negotiate, or otherwise facilitate transactions in the Territory described below, subject to the terms and conditions of this Agreement; and

WHEREAS, Agent represents that Agent has the qualifications, experience and ability to perform the services described in this Agreement and is willing to act as an independent contractor for the Principal on the terms set forth herein.

Scope of Work

Territory/Market:

Agent Authority: Agent is authorized to perform the specific acts set forth in the Scope of Work. Agent shall not incur any obligation or liability on behalf of Principal except with Principal's prior written consent.

Payment Terms

All amounts are payable in lawful currency. Agent shall submit invoices in accordance with the Payment Schedule. Principal shall pay undisputed invoices within the number of days specified in the Payment Schedule. Disputed amounts shall be raised promptly in writing and the parties shall cooperate to resolve disputes in good faith.

Term and Termination

This Agreement commences on the Start Date: and continues until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party given the number of days specified above. Either party may terminate immediately for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice of breach. Termination shall not relieve either party of obligations accrued prior to termination.

Confidentiality

Definition: "Confidential Information" means all non-public information disclosed by one party to the other related to business, finances, customers, pricing, trade secrets, and other proprietary matters, whether disclosed orally, visually or in writing.

Obligation: The receiving party shall hold Confidential Information in strict confidence, use it solely for performance under this Agreement, and not disclose it to any third party except as necessary to perform this Agreement or as required by law. The obligations under this clause shall survive termination for a period of years.

Agent acknowledges and agrees to comply with the Confidentiality obligations set forth above.

Independent Contractor; Indemnification

Agent is an independent contractor and nothing in this Agreement creates an employment, partnership, joint venture or agency relationship other than the limited appointment set forth herein. Agent is solely responsible for all taxes, insurance and benefits arising from compensation paid to Agent.

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, losses or liabilities arising from the indemnifying party's gross negligence, willful misconduct, or breach of this Agreement.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state specified above, without regard to its conflict of law rules. The parties agree that any dispute arising under this Agreement shall be resolved by binding arbitration or litigation in the courts of the specified state as elected by the non-breaching party.

Miscellaneous

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other, except that Principal may assign to an affiliate or in connection with a sale of substantially all of Principal's assets.

Amendment: This Agreement may be amended only by a written instrument signed by both parties.

Entire Agreement

This Agreement, including all schedules and attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether oral or written.

Notices: All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth in the Parties section above or to such other address as either party may designate by written notice in accordance with this provision.

Execution in Counterparts: This Agreement may be executed in counterparts, each of which will be deemed an original, and all of which will constitute one and the same instrument.
