Recitals (Whereas)

WHEREAS, the Company conducts an annual general meeting of its shareholders and/or members to transact corporate business, receive reports, elect directors, and address other agenda items customary to such meetings; and

WHEREAS, the Company desires to establish the agenda, responsibilities and financial arrangements for the upcoming Annual General Meeting scheduled on the Meeting Date set forth above; and

WHEREAS, the parties intend by this Agreement to set forth the scope of meeting services, payment terms, confidentiality obligations and other terms governing the conduct of the Annual General Meeting.

The Service Provider shall perform the following services in connection with the Annual General Meeting:

Invoices shall be payable within days of receipt. Late payments shall incur a late fee of on the outstanding balance, compounded monthly, or the maximum permitted by applicable law, whichever is less.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for cause if the other party materially breaches this Agreement and fails to cure such breach within days after written notice specifying the breach.

Upon termination, the Company shall pay the Service Provider for all services performed and reasonable costs incurred through the effective date of termination, subject to any offsets for unfulfilled deliverables as expressly provided in this Agreement.

Confidentiality

Each party (the "Receiving Party") agrees to hold in strict confidence and not to disclose or use, except in performance of its obligations under this Agreement, any Confidential Information disclosed by the other party (the "Disclosing Party"). "Confidential Information" includes non-public business information, meeting materials, shareholder lists, financial data, and other proprietary information disclosed in connection with the AGM, but does not include information that (a) is or becomes generally available to the public other than by breach of this Agreement; (b) was rightfully in the Receiving Party's possession prior to disclosure; or (c) is independently developed without use of the Disclosing Party's Confidential Information.

The Receiving Party may disclose Confidential Information to its employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those in this Agreement. The Receiving Party shall be liable for any breach of confidentiality by such persons.

Governing Law; Remedies

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties: , without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction of the competent courts located therein for resolution of disputes arising out of or relating to this Agreement.

The parties acknowledge that a breach of confidentiality or misuse of proprietary materials may cause irreparable harm for which monetary damages would be inadequate; accordingly, the Disclosing Party shall be entitled to seek injunctive relief and any other equitable remedies available under law, in addition to damages.

Entire Agreement and Amendments

This Agreement, together with any schedules and exhibits executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, understandings and communications, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

Notices

Notices shall be in writing and delivered by hand, nationally recognized overnight courier, or certified mail to the addresses above and shall be deemed given upon receipt.

Representations and Authority

Each party represents and warrants that it has the full corporate right, power and authority to enter into and perform its obligations under this Agreement, that the individual signing below on its behalf is authorized to execute this Agreement, and that execution of this Agreement has been duly authorized by all necessary corporate action.
