BUSINESS AGREEMENT ADDENDUM

This Business Agreement Addendum (the Addendum) is entered into as of by and between Client Name: (hereinafter "Client") and Contractor Name: (hereinafter "Contractor"). Client and Contractor are each a Party and together the Parties.

RECITALS

WHEREAS, the Parties entered into a certain Agreement identified as the Original Agreement dated (the Original Agreement); and

WHEREAS, the Parties now desire to amend and supplement the Original Agreement in accordance with the terms set forth in this Addendum; and

WHEREAS, capitalized terms used but not defined in this Addendum shall have the meanings ascribed to them in the Original Agreement unless otherwise specified herein.

SCOPE OF WORK

The Parties agree that the Original Agreement is amended to include the following additional scope of services. The Contractor shall perform the services described below in a professional, workmanlike manner and in compliance with all applicable laws.

PAYMENT TERMS

In consideration for the additional Services described in this Addendum, Client agrees to compensate Contractor pursuant to the following terms. All payments are exclusive of taxes unless otherwise stated.

All undisputed amounts shall be paid in cleared funds within the time specified above. If Client fails to pay any undisputed amount when due, Contractor may suspend performance after providing written notice and the opportunity to cure for the notice period specified in the Term and Termination section.

TERM AND TERMINATION

The term of this Addendum shall commence on and shall continue in effect until unless earlier terminated in accordance with this section.

Either Party may terminate this Addendum for material breach by the other Party if such breach remains uncured thirty (30) days after written notice of the breach, unless a shorter or longer cure period is stated in the Original Agreement or elsewhere in this Addendum. Termination shall not relieve either Party of obligations accrued prior to the effective date of termination.

CONFIDENTIALITY

The Parties acknowledge that in performing their obligations under the Original Agreement and this Addendum, each Party may receive or have access to Confidential Information of the other Party. "Confidential Information" means non-public business, technical, financial or other information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Each Party shall: (a) hold the other Party's Confidential Information in strict confidence; (b) not use such Confidential Information except to perform its obligations under the Original Agreement and this Addendum; and (c) not disclose such Confidential Information to any third party except to those employees, agents or contractors who have a need to know and are bound by confidentiality obligations at least as protective as those set forth herein. Confidentiality obligations shall survive termination of this Addendum for a period of three (3) years, except for trade secrets, which shall be protected for as long as applicable law requires.

GOVERNING LAW

This Addendum shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The Parties agree that exclusive jurisdiction for any dispute arising out of this Addendum shall lie in the state or federal courts located within that State.

ENTIRE AGREEMENT

Except as expressly amended by this Addendum, all terms, conditions and obligations of the Original Agreement remain in full force and effect. To the extent of any conflict between the Original Agreement and this Addendum, the terms of this Addendum shall govern. This Addendum, together with the Original Agreement, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

MISCELLANEOUS PROVISIONS

No waiver of any breach or default hereunder shall be deemed a waiver of any subsequent breach or default. If any provision of this Addendum is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Addendum may be executed in counterparts, each of which shall constitute an original, and electronic or facsimile signatures shall be deemed original signatures for purposes of enforcement.
